Krisis moneter yang lalu menyebabkan rupiah mengalami depresiasi terhadap dollar, perubahan kepemimpinan, perubahan peraturan dan program berdampak besar terhadap industri farmasi Indonesia. PT. X merupakan suatu Badan Usaha Milik Negara (BUMN) dan perusahaan terbuka yang bergerak di bidang farmasi. Jenis produk yang dihasilkan antara lain berupa obat-obatan beresep, bahan mentah, dan produk OTC. PT. X mengalami kesulitan karena struktur bahan bakumya 90% impor. Otonomi daerah yang diberlakukan pada tahun 2002 mengakibatkan perusahaan tidak mendapatkan inpres dan subsidi dari pemerintah, yang berakibat penurunan pada performance perusahaan secara menyeluruh, sehingga perusahaan harus menjalankan strategi mempertahankan pangsa pasar dan kembali fokus pads bisnis inti melalui restrukturisasi perusahaan.Tujuan dari penelitian ini adalah untuk mengevaluasi proses restrukturisasi perusahaan yang lebih memfokuskan pada bisnis inti serta pengaruhnya terhadap kinerja keuangan perusahaan dengan menggunakan rasio likuiditas, solvabilitas, profitabilitas dan metode EVA. Metode EVA merupakan alat ukur kinerja yang menghitung penciptaan nilai bagi pemegang saham.Hasil penelitian menunjukkan bahwa proses restrukturisasi perusahaan yang meliputi: restrukturisasi bisnis/usaha, restrukturisasi organisasi dan restrukturisasi keuangan menunjukkan peningkatan kinerja perusahaan secara menyeluruh. Restrukturisasi usaha dengan membentuk dua anak perusahaan yaitu PT. X Trading & Distribusi dan PT. X.Apotek mampu mengurangi kompleksitas jalur distribusi dan dapat meningkatkan kontribusi penjualan. Pengembangan dan strategi usaha yang dilakukan dengan merubah logo perusahaan, penataan struktur organisasi, pengembangan budaya dan nilai inti perusahaan, pengembangan sistem informasi dan sistem pelaporan akunting membuat karyawan dan manajemen lebih solid dalam melakukan pekerjaan.Dapat disimpulkan bahwa setelah melakukan restrukturisasi perusahaan, rasio likuiditas, solvabilitas dan profitabilitas menunjukkan peningkatan kinerja perusahaan. Kinerja keuangan PT. X yang membaik ditandai dengan laba bersih setelah pajak yang tebih besar dari tahun sebelumnya. Hasil perhitungan menunjukkan nilai EVA yang negatif untuk tahun 2001-2003 dan tahun 2005 yang berarti manajemen perusahaan tidak berhasil menciptakan nilai pada tahun tersebut. Perusahaan belum memanfaatkan dana yang didapat baik melalui hutang maupun ekuitas. EVA tahun 2004 menunjukkan nilai positif namun nilai EVA ini Iebih dikarenakan penurunan cost of equity dari modal.Manajemen PT. X masih harus meningkatkan efektifitas perusahaan di bidang R&D melalui diversifikasi produk yang nantinya dapat menghasilkan bahan baku obat berbiaya rendah atau dengan mengembangkan obat-obatan tradisional. Penulis menyarankan PT. X untuk melakukan peningkatan kerjasama yang saling menguntungkan dengan perusahaan farmasi nasional lainnya, agar dapat menghasilkan peningkatan penjualan dan profitabilitas perusahaan lebih cepat dimasa yang akan datang.

The past monetary crisis made rupiah currency depreciate to US Dollar, changing management, changing regulation and programs which caused a big impact to pharmaceutical industry in Indonesia. PT. A' is one of the state owned enterprises company (BUMN) and also public corporate, doing business in pharmacy sector. The product is prescription medicines (patent), raw material for pharmacy and 07C product. PT X has some difficulties in the raw material which structure mostly 90% are imported. Since 2002 when the regulation of the regional autonomy were validated, the company didn?t 't have any subsidized or president instruction regulation (Inpres) .from the central government, which caused decreasing of the company performance as a whole, so the company should maintain the remain market and totally focused to the core business by corporate restructuring.

The goal of this .final thesis is to evaluate the restructuring process of the company that give more focus to the core business and how far it influenced to the company performance by using liquidity ratio, solvability, and profitability and EVA method. EVA method is one of tools for company performance calculation and creates value for the stakeholders.

The result of the survey show that the process of the restructuring corporate consist of business restructuring, organization and finance restructuring are positive trend because there is an increasing of the company performance totally. Business restructuring by established two sister company, ogre is PT. X Trading & Distribution and the other is PT. X Apotek were able to minimized the complexity of distribution line and to increase the sales contribution. The development and strategy of the business also change the logo of the company, organization structure system, the development of behavior and the value of the company, the development of information system and accounting reporting system make the employee and management more solid as a team in running their task.

The conclusion after the company restructuring: the ratio of liquidity, solvability and profitability are increase and show the progress performance of the company. The financial performance of PT. X (Holding) also become much better where the net profit (after interest and tax) is bigger compare with a year before. The calculation also gives evidence that the EVA score is negative in the 2001-2003 and also in 2005, it means that the management can't create the value for the years mention above. The company didn?t 't used the fund yet, both credits or equity. EVA score in the year 2004 give the positive value, but this EVA value was caused by decreasing the cost of equity from financial capital.

The management of PT X (Holding) still to increase the company effectiveness by investment in the R & D and making a product diversification that can produced low cost of raw material medicine or by developing traditional medicine. The writer give some suggestion that PT X should try to increase a joint operation project with other national pharmacy company, hopefully it can improve or increasing sales and profit of the company faster in the near future.
