Undang-Undang Perseroan Terbatas menempatkan profesi notaris dalam kedudukan yang sangat penting untuk lahir dan eksistensinya suatu Perseroan Terbatas. Setiap perubahan anggaran dasar harus ditetapkan berdasarkan hasil keputusan Rapat Umum Pemegang Saham (RUPS) yang wajib dituangkan dalam bentuk akta notaris. Dalam undang-undang tersebut telah diatur mengenai jangka waktu proses pelaksanaan perubahan anggaran dasar perseroan. Dalam tesis ini akta notaris dalam rangka penyesuaian dan perubahan data perseroan yang hendak diajukan permohonannya kepada Menteri akhirnya menjadi lewat batas waktu. Hal ini terjadi akibat adanya kelalaian dari pihak Notaris dan dihentikannya Sistem Administrasi Badan Hukum (SABH). Akta yang lewat batas waktu berarti telah cacat hukum, akan tetapi perbuatan hukum untuk mengubah anggaran dasar oleh para pihak tidak menjadi batal Oleh karena itu akta yang telah lewat batas waktu diperlukan keputusan RUPS mengenai penegasan kembali atas hasil keputusan RUPS sebelumnya yang kemudian dituangkan dalam suatu akta notaris. Berdasarkan akta penegasan ini selanjutnya notaris mengajukan permohonan persetujuan dan atau pemberitahuan kepada Menteri Hukum dan Hak Asasi Manusia Republik Indonesia melalui sistem. Penelitian ini menggunakan metode penelitian kepustakaan yang bersifat yuridis normatif dan ternyata dari hasil penelitian penulis terdapat beberapa permasalahan yang dapat mengakibatkan tidak terpenuhinya jangka waktu pelaksanaan perubahan anggaran dasar sebagaimana yang tercantum dalam peraturan perundang-undangan.

Limited Liability Company Law puts the profession of a Notary in a very important position for the establishment and existence of a Limited Liability Company. Every amendment to the articles of association must be based on the result of the resolution of the General Meeting of Shareholders (GMS) which must be set out in the form of a notarial deed. In such law, has been stipulated the period for the impfementation process of amendment to the articles of association of a company. In this thesis, notarial deed in the framework of adjustment and amendment to the articles of association which is intended to be submitted for its application to the Minister has finally become expired. This is due to the presence of negligence from the part of the Notary and the stoppage of Legal Entity Administration System Sistem Administrasi Badan Hukum (SABH). The expired deed means it has a legal defect; however, the legal act to amend the articles of association by the parties does not become void. Therefore, the expired deed requires a resolution of the GMS regarding the re- affirmation over the result of the resolution of the previous GMS which then will be set out in a Notarial deed. Based on this deed of affirmation, then, the Notary will submit the application for the approval and or the notice to the Minister of Law and Human Rights of the Republic of Indonesia through the system. This research utilizes library research method with normative juridical characteristic and evidently from the result of the research, there are several issues which could cause the non-fulfillment of the period for the implementation ofthe amendment to the articles of association as stated in the statutory reguiations.
