ABSTRACT
Penelitian ini menelaah tentang ketentuan Pasal 36 Undang-Undang No.40 tahun 2007 tentang Perseroan Terbatas (UUPT), yang secara khusus melarang pemilikan saham secara cross holding oleh perseroan terbatas, dan kajiannya dilakukan dengan mempergunakan pendekatan teori piercing the corporate veil dan prinsip-prinsip good corporate governance, Khusus dalam menelaah tentang pelaku pelanggaran, yang dapat dilakukan oleh pemegang saham suatu perseroan terbatas yang ingin menjalankan bisnisnya tanpa mengindahkan peraturan perundang-undangan yang berlaku, atau justru bahkan dilakukan oleh direksi dan/atau komisaris, dengan asumsi pelanggaran terhadap ketentuan Pasal 36 UUPT memperlihatkan adanya faktor kepentingan yang sangat melekat didalamnya, namun penelitian ini tidak bertujuan untuk memberikan contoh-contoh kasus mengingat transaksi semacam ini tergolong sebagai transaksi yang highly classified, meskipun dalam tatanan akademis penulis tidak memiliki akses sepenuhnya terhadap perseroan-perseroan yang melakukan transaksi semacam ini. Selain itu penggunaan teori piercing the corporate veil dan prinsip-prinsip good corporate governance bertujuan untuk mengidentifikasi siapa-siapa yang harus dan dapat dibebani tanggung jawab atas pelanggaran Pasal 36 UUPT, termasuk uraian terhadap kerugian ataupun pelanggaran yang dilakukan oleh para pelakunya terhadap teori dan prinsip-prinsip dalam bidang hukum perusahaan, khususnya terhadap perlindungan yang harus diberikan kepada para stakeholders. Pemaparan ini juga memberikan wawasan bahwa peran profesi penunjang dalam penegakkan Pasal 36 UUPT ini tergolong signifikan.
ABSTRACT
This research is about provision of Article 36 Law No.40 of 2007 on Limited Liability Company (UUPT), specifically provides that limited liability company is prohibited from having cross-holding shares, and it was made by using the approach of piercing the corporate veil theory and good corporate governance principles, especially the study on lawbreaker, he may be a shareholder of a limited liability company who wants to run his business without observing the prevailing laws and regulations, or even it is made by the Board of Directors and/or of Commissioners thereof, and the assume is the breach of the provision of Article 36 UUPT, it will be increasingly revealed due to the interest factor associated with it. This research is not aimed at giving case examples noting that such transaction is as highly classified transaction, even in the academic rules, the author has no full-access to the corporations making such transaction. The use of piercing the corporate veil theory and good corporate governance principles are also aimed at identifying those who must and may be responsible for the breach of Article 36 UUPT including explaining about damages or breach made by doers to the theory and principles in the field of corporation law, especially the protection that must be given to stakeholders. This explanation also gives insight that the profession role is significant to whether Article 36 this UUPT is enforced.
