Tesis ini membahas putusan Majelis Pemeriksa Pusat Notaris mengenai laporan seorang mantan direktur yang diberhentikan oleh perseroan tempat dia bekerja dan mantan direktur ini ingin meminta salinan akta risalah RUPS Luar Biasa yang menjadi dasar pemecatan dirinya akan tetapi tidak diberikan oleh notaris dan dia melaporkan notaris tersebut ke Majelis Pengawas. Dalam tesis ini akan dibahas apakah mantan direktur ini berhak meminta salinan akta risalah RUPS Luar Biasa tersebut, walau pasal 54 UUJN telah menegaskan bahwa hanya ada 3 (tiga) pihak yang berhak meminta salinan akta yaitu pihak yang berkepentingan langsung, ahli waris dan pihak yang memperoleh kepentingan. Akan dianalisis apakah mantan direktur ini termasuk kedalam ketiga kategori tersebut dan juga apakah pemecatan mantan direktur ini telah sesuai dengan UU Perseroan Terbatas dan apakah akta risalah RUPS Luar Biasa yang dibuat oleh notaris tersebut sah atau tidak menurut UU Perseroan Terbatas karena mantan direktur tersebut mendalilkan bahwa RUPS Luar Biasa tersebut tidak sah. Metode yang akan dipakai adalah metode penelitian normatif.Bahan-bahan yang digunakan adalah bahan hukum sekunder yaitu bahan-bahan kepustakaan yang didukung oleh wawancara dengan narasumber. Dari hasil penelitian bahan-bahan kepustakaan dan wawancara tersebut penulis berkesimpulan bahwa mantan direktur ini tidak berhak atas salinan akta Risalah RUPS Luar Biasa tersebut karena dia bukan pihak yang berkepentingan langsung, bukan ahli waris, bukan pula pihak yang memperoleh hak dan terutama bukan pula pemegang saham pada perseroan tersebut apabila merujuk pada UU Perseroan Terbatas.

This thesis discusses about the decision of the Panel of the Central Examination deed on the report of a former director who dismissed by the company where he worked and former director wants to request a copy of the deed of Extraordinary General Meeting on which the dismissal itself, however not provided by the notary and reported to the Assembly Supervisors. In this thesis, whether the former director is entitled to request a copy of the deed of Extraordinary General Meeting, eventhough Article 54 UUJN have asserted only 3 (three) parties are entitled to request a copy of the deed that is directly interested parties, heirs and those who obtain interests. It will be analyzed whether these former directors including into three categories and also whether the dismissal of former director has been in accordance with the Limited Liability Company Act and whether the deed of Extraordinary General Meeting made by the notary is valid or not according to the Limited Liability Company Act as a former director of the postulate that the GMS Extraordinary is not valid. Method will be used normatif. Materials research methods used secondary legal materials from library materials that are supported by interviews with sources. From the research library materials and interview, the authors concluded that the former director is not entitled to a copy of the deed of the Minutes of the Extraordinary General Meeting Of Shareholders because he was not directly interested parties, not the heir, nor of those who acquire rights and especially not also shareholders of the company is when referring to the Limited Liability Company Act.
