ABSTRAKSkripsi ini membahas mengenai pengaturan tentang penyesuaian Anggaran Dasar Perseroan ditinjau Undang-Undang Nomor 1 Tahun 1995, dan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas serta akibat hukum terhadap perseroan yang tidak menyesuaikan anggaran dasarnya, khususnya terhadap PT Sumber Niaga yang didirikan pada tahun 1983. Dengan menggunakan metode penelitian kepustakaan, penulisan skripsi ini bertujuan untuk mengetahui pengaturan tentang penyesuaian Anggaran Dasar Perseroan serta akibat hukum terhadap perseroan yang tidak menyesuaikan anggaran dasarnya. Undang-Undang Nomor 1 Tahun 1995 memberikan waktu 2 tahun bagi perseroan untuk menyesuaikan anggaran dasarnya, namun tidak menetapkan sanksi apabila tidak dilakukan hal tersebut. Namun pada tahun 1998, dikeluarkanlah Peraturan Pemerintah Nomor 26 Tahun 1998 tentang Pemakaian Nama Perseroan Terbatas yang menyatakan bahwa perseroan yang tidak menyesuaikan anggaran dasarnya hingga tanggal 7 September 1998, maka namanya dapat dipakai oleh pihak lain. Undang-undang Nomor 40 Tahun 2007 memberikan waktu 1 tahun untuk melakukan penyesuaian anggaran dasar perseroan, dengan sanksi bagi perseroan yang belum menyesuaikan anggaran dasarnya dalam jangka waktu 1 tahun, dapat dibubarkan berdasarkan putusan pengadilan negeri atas permohonan kejaksaan atau pihak yang berkepentingan. Pemerintah dalam hal ini tidak konsisten terhadap peraturan yang dikeluarkan tentang status badan hukum, pemakaian nama perseroan, serta pendaftaran perseroan seperti yang terjadi pada kasus PT Sumber Niaga, yang akan berakibat merugikan perseroan yang pada dasarnya telah memiliki status badan hukum, namun menjadi gugur statusnya dikarenakan tidak melakukan penyesuaian anggaran dasar.

ABSTRACT

This thesis mainly discusses about adjustment the article of association which regulated by Law Number 1 Year 1995 and Law Number 40 Year 2007 about Limited Liability Company and the legal consequences to the company for did not adjust the article of association, especially for PT Sumber Niaga which established at 1983. By using the method of literature research, this thesis aims to determine the regulations about adjustment the article of association and the legal the legal consequences to the company for did not adjust the article of association. Law Number 1 Year 1995 regulated that company have 2 years to adjust the article of associations, but the law didn?t rule about the consequences if the company didn?t do that. But in 1998, the government issued Government Regulation Number 26 Year 1998 on the Use of Limited Liability Company Name stating that the company which did not adjust the article of associations until September 7th 1998, the name of the company could used by another party. Law No. 40 of 2007 provide 1 year to make adjustments to the company's articles of association, with sanctions for not adjusting the company's articles of association within a period of 1 year, can be dissolved by the decision of the district court at the request of the prosecutor or interested parties. The government in this case is not consistent with the regulations issued on the status of a legal entity, the use of the company name, as well as the registration of the company as it did in the case of PT Sumber Niaga, which would be harm to the company that basically has had the status of a legal entity, but becomes void due to its status did not adjust the article of association.
