Penelitian ini bertujuan untuk menganalisis pengaruh board composition dan struktur kepemilikan terhadap kebijakan dividen perusahaan. Sampel yang digunakan sebanyak 294 perusahaan untuk menguji keputusan dividen dan 406 data observasi tahunan perusahaan untuk menguji dividend payout ratio perusahaan non keuangan yang terdaftar di Bursa Efek Indonesia periode 2008-2012. Penelitian menggunakan dua model: regresi logistik biner dan regresi linier berganda. Hasil penelitian menunjukkan bahwa: 1) ukuran dewan komisaris berpengaruh positif signifikan terhadap keputusan dividen, sementara rasio kepemilikan manajerial, rasio kepemilikan institusional, dan rasio free float berpengaruh negatif signifikan terhadap keputusan dividen; 2) rasio kepemilikan institusional dan free float ratio berpengaruh negatif signifikan terhadap dividend payout ratio. Selain itu, ditemukan bukti bahwa rasio komisaris independen tidak berpengaruh baik terhadap keputusan dividen maupun dividend payout ratio.

The main objective of this research is to analyze the effect of board composition and ownership structure on firm dividend policy. Samples used in this study are 294 firms to test dividend decision and 406 firm year observations to test dividend payout ratio of nonfinancial firms listed in Indonesia Stock Exchange for the period of 2008-2012. This research used two models: binary logistic regression and multiple linier regression.

The result show that: 1) board size has positive and significant effect on dividend decision, while managerial ownership ratio, institutional ownership ratio, and free float ratio have negative and significant effect on dividend decision; 2) institutional ownership ratio and free float ratio have negative and significant effect on dividend payout ratio. Results also show that board independence has no effect both on dividend decision and dividend payout ratio.
