Tesis ini membahas mengenai perlindungan hukum terhadap hak-hak pemegang saham minoritas secara umum dan bentuk perlindungan khusus yang berupa Derivative Action pada Perseroan Terbatas, dan kaitannya dengan implementasi Good Corporate Governance. Kajian didasarkan pada Undang-Undang Perseroan Terbatas Nomor 40 Tahun 2007. Penelitian ini adalah penelitian normatif yang menggunakan deskriptif analitis. Hasil dari penelitian ini adalah diperlukannya ketentuan khusus dan peraturan pelaksana sehubungan dengan Derivative Action yang dapat diajukan oleh pemegang saham minoritas, sesuai dengan fungsinya sebagai mekanisme perlindungan pemegang saham. Didalam tesis ini penulis menjelaskan mengenai Derivative Action di Indonesia dengan contoh kasusnya dengan studi perbandingan dengan pelaksanaan Derivative Action di negara-negara penganut system hukum common law. Penulis memberikan contoh-contoh kasus Derivative Action pada negara-negara seperti Amerika Serikat dan Inggris. Studi kasus dititiberatkan pada peraturan pelaksanaan dan peraturan pendukung bagi Derivative Action, hal ini untuk mendukung penelitian Penulis mengenai hambatan-hambatan dan kurang populernya Derivative Action di Indonesia karena kurangnya peraturan pelaksanaan pada hukum acara di Indonesia. Hubungan antara pelaksanaan Derivative Action di suatu negara menjadi tolak ukur pelaksanaan Good Corporate Governance, sebagai suatu bentuk perlindungan hak-hak minoritas pemegang saham. Perlindungan pemegang saham minoritas menjadi sangat penting ketika azas-azas Good Corporate Govenance diterapakan dalam proses berjalannya Perseroan Terbatas. Hak-hak minoritas yang seringkali terabaikan yang nantinya berpengaruh pada iklim investasi global.

This thesis is about legal protection to minority shareholders in general and special protection in a manner of Derivative Action on Limited Liability Company and its relation to Good Corporate Governance. This research is based on Limited Liability Law Number 40 year 2007. This research is a normative research using analytical description.

Result from this research is that there is a need for the ratification of special rules and regulation in regards to the implementation of Derivative Action as the tools for the protection of minority shareholder.
