ABSTRAK
Skripsi ini membahas mengenai pengaturan kedudukan dan peran organ koperasi, yaitu Pengurus koperasi yang diatur dalam Undang-Undang Perkoperasian di Indonesia, serta dapat atau tidaknya prinsip-prinsip korporasi yang berasal dari sistem hukum Anglo Saxon Common Law System diterapkan pada badan usaha Koperasi di Indonesia. Hal-hal tersebut akan digunakan dengan studi kasus: Koperasi Cipaganti Karya Guna Persada yang secara garis besar berisikan mengenai kasus pidana, perdata, bahkan PKPU atau kepailitan pada koperasi sehingga timbul suatu kerugian pada koperasi. Hal tersebut perlu diketahui apakah kerugian yang dialami oleh koperasi terlebih dahulu, kemudian siapakah yang dapat bertanggung jawab atas hal tersebut. Jenis penelitian adalah yuridis normatif dan keseluruhannya dengan menggunakan metode penelitian kualitatif. Hasil penelitian menunjukkan bahwa pengaturan mengenai kedudukan dan peran Pengurus koperasi di dalam Undang-Undang Perkoperasian Nomor 25 Tahun 1992 belum cukup memadai apabila dibandingkan dengan pengaturan mengenai kedudukan dan peran Direksi di dalam Perseroan Tebatas yang diatur dalam Undang-Undang Perseroan Terbatas Nomor 40 Tahun 2007. Pengaturan prinsip-prinsip korporasi pada badan usaha koperasi di Indonesia belum cukup diatur secara jelas dalam Undang-Undang Perkoperasian, baik Undang-Undang No. 12 Tahun 1967, Undang-Undang No. 25 Tahun 1992, maupun Undang-Undang No. 17 Tahun 2012. Tidak seperti pengaturan dalam Undang-Undang Perseroan Terbatas No. 40 Tahun 2007. Hal tersebut mengakibatkan penerapannya tidak terlalu diperhatikan oleh Majelis Hakim untuk memutuskan suatu perkara hukum apabila terjadi berkaitan dengan koperasi.

ABSTRACT
The thesis discusses the position and the role of organs in cooperatives entity, especially Board of Directors of cooperative which regulated by the Act Cooperatives in Indonesia, as well as whether or not the corporation principles derived from the legal system of Anglo Saxon Common Law System applied to cooperatives entity in Indonesia. These things will be use to analyze with a case study Koperasi Cipaganti Guna Karya Persada which generally contains about criminal cases, civil, even bankruptcy of the cooperative causing a loss to the cooperative. It is important to know whether the losses incurred by the cooperative, then who can be responsible for it. Type of research is qualitative normative juridical research methods. The results showed that the position and role of the Board of Directors of cooperatives in the Cooperative Act 1992 is not sufficient when compared with arrangements regarding the position and role of the Board of Directors in the Company regulated in Company Act 2007. The regulations of the corporate business principles for cooperatives entity in Indonesia has not been sufficiently clearly regulated in the Cooperative Act, both Cooperative Act 1967, Cooperative Act 1992, and Cooperative Act 2012. Unlike the arrangement in the Company Act 2007. This resulted in the application is not too considered by the judges to decide if there is a lawsuit related to the cooperative.
