Tesis ini membahas mengenai kewenangan pelaksana tugas Direksi anak perusahaan PT Kereta Api Indonesia Persero yaitu PT Kereta Api Logistik, yang mana penunjukkannya berdasarkan keputusan Rapat Umum Pemegang Saham yang tercantum dalam Risalah Sirkuler. Risalah Sirkuler tersebut kemudian dinyatakan ke dalam akta notaris oleh Direksi PT Kereta Api Logistik walaupun dalam Risalah Sirkuler tidak terdapat pemberian kuasa dari Rapat Umum Pemegang Saham kepada Direksi PT Kereta Api Logistik untuk menyatakan keputusan Rapat Umum Pemegang Saham ke dalam akta notaris. Metode penulisan dalam tesis ini berbentuk yuridis normatif sehingga didasarkan pada sumber kepustakaan dan dilakukan dengan wawancara dengan pihak-pihak yang terkait. Kewenangan pelaksana tugas Direksi PT Kereta Api Logistik sama dengan kewenangan jabatan Direksi yang ditempatinya sesuai dengan anggaran dasar PT Kereta Api Logistik. Tidak adanya pemberian kuasa dari Rapat Umum Pemegang Saham, maka akta notaris yang dibuat menjadi cacat hukum dan terdegradasi menjadi akta dibawah tangan. Konsekuensi hukum ini tidak menyebabkan batalnya penunjukkan pelaksana tugas anggota Direksi PT Kereta Api Logistik, karena pelaksana tugas anggota Direksi PT Kereta Api Logistik ditunjuk oleh Rapat Umum Pemegang Saham dan mempunyai kewenangan yang sama dengan kewenangan jabatan Direksi yang ditempatinya, hal ini sesuai dengan anggaran dasar PT Kereta Api Logistik.

This thesis discusses the authority of the acting official of the Board of Directors of the subsidiary of PT Kereta Api Indonesia Persero , PT Kereta Api Logistik, whose appointment is based on the decree of the General Meeting of Shareholders stated in the Circular Resolution. The Circular Resolution is subsequently stated in notarial deed by one of the Board of Directors of PT Kereta Api Logistik although there is no authorization from the General Meeting of Shareholders to the Board of Directors of PT Kereta Api Logistik to declare the decree of the General Meeting of Shareholders into notarial deed. The method of writing in this thesis is in the form of normative juridical so that it is based on bibliography source and conducted by interview with related parties. The authority of the acting official of the Board of Directors of PT Kereta Api Logistik has the same authority with the authority of the Board of Directors in accordance with the Articles of Association of PT Kereta Api Logistik. In the absence of authorization from the General Meeting of Shareholders, the notarial deeds are made legally defective and degraded into a deed under the hand. This legal consequence does not result in the cancellation of the acting official of the Board of Directors of PT Kereta Api Logistik, as the acting official of the Board of Directors of PT Kereta Api Logistik is appointed by the General Meeting of Shareholders and has the same authority with the authority of the Board of Directors of PT Kereta Api Logistik, this is based on the Articles of Association of PT Kereta Api Logistik.
