Tesis ini membahas tentang hubungan hukum yang terjadi di antara para pihak dalam kredit sindikasi untuk pembiayaan jalan tol, cara para kreditur peserta sindikasi untuk memastikan bahwa hak pengusahaan atas jalan tol nantinya dapat dialihkan apabila Badan Usaha Jalan Tol BUJT dalam posisinya sebagai debitur wanprestasi berdasarkan perjanjian kredit sindikasi yang dibuat di antara kreditur peserta sindikasi dengan debitur dan pihak lain yang terlibat agen fasilitas dan agen jaminan , hubungan hukum dalam surat pernyataan letter of undertaking yang dibuat oleh pemegang saham debitur untuk menanggung segala kekurangan dana cash deficiency atau peningkatan biaya cost overrun sehubungan dengan pengusahaan jalan tol, serta hubungan hukum yang terjadi akibat pengalihan kepesertaan dalam kredit sindikasi. Tesis ini menggunakan metode penelitian deskriptif yaitu dengan menganalisis suatu hasil penelitian tetapi digunakan untuk membuat kesimpulan yang lebih luas. Penelitian dilakukan dengan melakukan wawancara langsung dan melalui kuisioner/pertanyaan kepada narasumber. Selanjutnya permasalahan yang dibahas dalam tesis ini dibandingkan dengan peraturan nasional untuk memastikan bagaimana hubungan hukum yang terjadi di antara para pihak dalam kredit sindikasi pembiayaan jalan tol, cara memastikan hak pengelolaan atas jalan tol dapat dialihkan, konsekwensi hukum dari surat pernyataan letter of undertaking , serta metode pengalihan kepesertaan dalam kredit sindikasi.

This thesis discusses the legal relationships occurred between the parties in the syndicated loan transaction for building the toll road, the method used by syndicated creditors to ensure that the right of exploitation hak pengusahaan on toll road can be transferred assigned if Badan Usaha Jalan Tol BUJT is in default under the syndicated loan agreement between creditors, debtors and other relevant parties agent bank , legal relationships occurred under letter of undertaking given by the shareholder s or sponsor s of the borrower regarding to the undertaking of the shareholders or sponsors to inject fund into borrower if any cash deficiency or cost overrun occurs related to the exploitation of toll road, and also legal relationships occurred by the transferring or assigning of the commitment or loan in syndicated loan transaction.

This thesis uses descriptive research method by analyzing the result of research to build more wide resumes. The research has been done by interviewing the sources directly and questioner written question. Furthermore, the problems will be discussed in this thesis is compared with the national law or regulations to ensure the legal relationships occurred between the parties under syndicated loan for exploitation of toll road, the method to ensure that the right of exploitation hak pengusahaan on the toll road can be transferred assigned, the legal consequences of letter of undertaking, and also the method to assign transfer commitment or loan in syndication transaction.
