BlueCircle Chemicals is a publicly traded company that is listed on the ASX. The CEO Jane Randolph has been with the company for six years. Jane left her previous role as CEO at another company following constant disputes with the auditors. I have read in the media that she is currently in dispute with the worker s union over employment conditions in their factories. Jane has been encouraged to improve the company s performance by being given 35% of her remuneration in the form of the company s shares. The company s audit committee used to meet every quarter to review the quarterly management reports. However, they have not had time to meet in the last twelve months as the members of the committee have been too busy. The company has started to sell its products to Saturn Holdings Ltd, a company owned by Mark Randolph, the brother of the CEO Jane Randolph.
