Tesis ini membahas kesesuaian atas pasal 44 Undang-undang Jasa Konstruksi dengan pasal 22 Undang-undang Antimonopoli dan Persaingan Usaha Tidak Sehat serta kedudukan perusahaan konstruksi dalam mengikuti tender dengan pendekatan dari teori Rule of Reason Dan Perse Illegal dan Tesis ini disusun dengan menggunakan metode penelitian yuridis normatif, library research, dan comparative study. Adapun kesimpulannya yaitu ketentuan pada Pasal 44 Undang Undang Jasa Konstruksi belum sesuai dengan ketentuan pasal 22 Undang Undang Antimonopoli dan Persaingan Usaha Tidak Sehat, sebab pendekatan yang digunakan dalam pengaturan kedua Pasal dari masing masing Undang-Undang tersebut berbeda. Pasal 44 Undang Undang Jasa Konstruksi melarang praktik afiliasi antara Pengguna Jasa dan Penyedia Jasa (tender kolutif vertikal) secara per se illegal, sedangkan pasal 22 Undang Undang Antimonopoli dan Persaingan Usaha Tidak Sehat mengatur larangan tender kolutif dengan pendekatan rule of reason. Saran penulis dalam tesis ini perlu ditunjang dengan pendekatan pengaturan yang sama, pada setiap peraturan perundang-undangan yang berlaku. Pendekatan rule of reason dianggap paling sesuai untuk mengatur bentuk pelanggaran ini, sebab informasi asimetris dan permasalahan Principal-Agent kerap terjadi dalam manajemen perusahaan, hubungan terafiliasi baik disengaja ataupun tidak disengaja dapat menjadi dugaan awal, yang membutuhkan pembuktian lebih lanjut untuk dinyatakan sebagai praktik anti persaingan.

This thesis discusses the suitability of article 44 of the Law on Construction Services with article 22 of the Antitrust and Unfair Business Competition Law and the position of construction companies participating in tenders with the Perse Illegal and Role Of Reason Appraches law and this thesis is prepared using juridical research methods normative, library research, and comparative study. The conclusions are the provisions in Article 44 of the Law on Construction Services not in accordance with the provisions of article 22 of the Antitrust and Unfair Business Competition Law, because the approach used in the regulation of the two Articles of each Law is different. Article 44 of the Construction Services Law prohibits the practice of affiliation between Service Users and Service Providers (vertical collutive tenders) per se illegally, while Article 22 of the Antitrust and Unfair Business Competition Law regulates the ban on collutive tendering with the rule of reason approach. The author's advice in this thesis needs to be supported by the same regulatory approach, in every applicable legislation. The rule of reason approach is considered to be the most appropriate for regulating this form of violation, because asymmetric information and Principal-Agent problems often occur in company management, affiliated relationships intentional or unintentional can be initial guesses, which require further evidence to be declared anti-competitive practice.
