Tesis ini membahas untuk memahami bagaimana penerapan konsesi pada area pelabuhan bagi BUMN sektor kepelabuhanan, baik terhadap kegiatan pengusahaan sebelum maupun setelah berlakunya UU Nomor 17 Tahun 2008 tentang Pelayaran, guna selanjutnya menganalisis secara yuridis atas akibat hukum dari pelaksanaan rencana Restrukturisasi BUMN sektor Kepelabuhanan terhadap pemberlakuan Konsesi Kepelabuhanan pada Pelabuhan yang telah diusahakannya sebelum berlakunya UU Nomor 17 Tahun 2008 tentang Pelayaran. Penelitian ini juga membahas mengenai alternatif skema rencana Restrukturisasi yang memungkinkan bagi BUMN Kepelabuhan beserta langkah-langkah persiapan dan akibat hukum yang berpotensi timbul atas masing-masing skema tersebut. Penelitian ini adalah penelitian yuridis-normatif yang mengacu dan bersumber pada hukum positif tertulis di Indonesia, dengan tipe penelitian yang akan digunakan dalam penelitian ini adalah penelitian deskriptif-analitis. Hasil penelitian menyarankan bahwa terhadap rencana Restrukturisasi BUMN Kepelabuhanan, Pemerintah diharapkan dapat secara konsisten menjalankan asas kepastian hukum tersebut kepada BUMN Kepelabuhanan tersebut dengan tetap memberikan hak menyelenggarakan kegiatan pengusahaan di Pelabuhan yang telah diselenggarakan sebelum berlakunya UU Nomor 17 Tahun 2008 tentang Pelayaran dan juga kewenangan untuk tetap memperoleh Hak Pengelolaan (HPL) atas tanah, dengan cara mengeluarkan kebijakan khusus pemberian perlakuan yang sama dengan BUMN kepada PT Pelindo I, II, III dan IV (Persero) melalui Peraturan Pemerintah.

This thesis analyzes to understand how the application of concessions in the port area for BUMN in the port sector, both for business activities before and after the enactment of Law Number 17 of 2008 concerning Shipping, in order to further juridically analyze the legal consequences of the implementation of the port sector BUMN Restructuring plan against Port Concessions in Ports that have been attempted before the enactment of Law Number 17 of 2008 concerning Shipping. This study also analyzes the alternative schemes of a possible restructuring plan for port SOEs along with preparatory steps and legal consequences that could potentially arise for each of these schemes. This research is juridical-normative research which refers to and is based on written positive law in Indonesia, with the type of research that will be used in this research is descriptive-analytical research. The results of the study suggest that with regard to the Port Restructuring BUMN plan, the Government is expected to be able to consistently carry out the principle of legal certainty to the Port State-Owned Enterprise (BUMN) by providing the right to carry out business activities in the Port that was held before the enactment of Law No. 17 of 2008 concerning Shipping and also the authority to continue obtaining Hak Pengelolaan (HPL) on land, by issuing a special policy for providing equal treatment with SOEs to PT Pelindo I, II, III and IV (Persero), through the issuance of Government Regulations.
