Penyertaan Modal Negara (PMN) pada BUMN dapat berupa barang tetap berbentuk tanah. Kekuatiran pengurus Persero atas risiko tindak pidana korupsi akibat kerugian korporasi menyebabkan rendahnya pemanfaatan aset Persero. Dengan menggunakan metode penelitian yuridis normatif diperoleh suatu konsepsi PMN merupakan pemisahan kekayaan negara untuk dijadikan sebagai penyertaan modal negara dalam BUMN Persero. PMN mengakibatkan beralihnya kepemilikan negara atas tanah yang merupakan objek PMN menjadi aset BUMN Persero sebagaimana tercatat dalam laporan keuangannya. Dengan demikian pengurus Persero berwenang untuk mendayagunakan aset berupa tanah termasuk menjadikannya sebagai penyertaan modal dalam rangka kerja sama dengan perseroan terbatas. Sesuai dengan teori badan hukum, penyertaan modal BUMN Persero berupa tanah pada perseroan terbatas diperkenankan sepanjang memenuhi kriteria yang diatur dalam Surat Edaran Menteri BUMN Nomor 13 Tahun 2021.

State Equity Participation (SEP) in Persero can be in the form of fixed goods in the form of land. The concerns of the Persero's management over the risk of corruption due to corporate losses have resulted in the low utilization of Persero's assets. By using a normative juridical research method, it is obtained a conception of SEP is the separation of state assets to be used as state capital participation in Persero. PMN resulted in the transfer of state ownership of land which is the object of SEP to become the assets of Persero as recorded in its financial statements. Thus, the management of the Persero is authorized to utilize assets in the form of land, including making it a capital investment in the context of cooperation with a limited liability company. In accordance with the theory of legal entities, equity participation of Persero in the form of land in a limited liability company is allowed as long as it meets the criteria stipulated in the Circular Letter of the Minister of BUMN Number 13 of 2021.
