PT X Tbk mengadakan RUPS tahunan dengan salah satu agenda melakukan perubahan susunan direksi dan dewan komisaris. Perubahan dilakukan tanpa adanya rekomendasi dari dewan komisaris PT X Tbk, sehingga melanggar ketentuan dalam Peraturan Otoritas Jasa Keuangan (POJK). Meskipun mengetahui perubahan susunan direksi dan dewan komisaris dilakukan tanpa adanya rekomendasi dewan komisaris, Notaris Y tetap membuatkan akta berita acara Rapat Umum Pemegang Saham (RUPS) atas perubahan susunan direksi dan dewan komisaris PT X Tbk. Dalam kasus ini, Majelis hakim berpendapat kewajiban pemeriksaan persyaratan dalam POJK merupakan kewajiban dari pimpinan RUPS dan PT X Tbk sendiri, sedangkan Notaris Y hanya bertugas untuk mencatat hasil dari pelaksanaan RUPS. Permasalahan yang diangkat dalam penelitian ini adalah peran notaris terkait perubahan pengurus perseroan terbuka tanpa adanya rekomendasi nominasi dan akibat hukum Putusan Pengadilan Negeri Jakarta Pusat terhadap akta berita acara RUPS yang dibuat oleh notaris. Untuk menjawab permasalahan digunakan metode penelitian hukum normatif. Hasil analisis dari penelitian ini adalah peran notaris terkait perubahan pengurus perseroan terbuka adalah memastikan perbuatan hukum yang dituangkan dalam akta berita acara RUPS tidak melanggar peraturan perundang-undangan yang berlaku dan akibat hukum Putusan Pengadilan Negeri Jakarta Pusat terhadap akta berita acara RUPS yang dibuat oleh notaris menyebabkan akta tersebut menjadi batal.

PT X Tbk held an annual GMS with one of the agendas to change the composition of the board of directors and board of commissioners.
