Dengan situasi pandemi Covid-19, Perusahaan Terbuka tidak bisa menyelenggarakan RUPS yang dihadiri oleh para pemegang saham karena akan menimbulkan kerumunan. Pemerintah sebagai regulator melalui OJK menerbitkan POJK Nomor 15 /POJK.04/2020 dan POJK Nomor 16 /POJK.04/2020, Peraturan tersebut mendorong terciptanya suatu sistem pemberian kuasa yang terintegrasi dan mudah digunakan bagi para pemegang saham yaitu dengan penyelenggaraan surat kuasa secara elektronik atau e-Proxy terhadap RUPS PT terbuka, tanpa mencederai apa yang telah diatur dalam Peraturan Perundang-undangan. Adapun tesis ini, membahas keabsahan penerapan e-proxy pada sistem eASY.KSEI ditinjau dari ketentuan hukum di Indonesia, kemudian bagaimana pengaturan penerapan e-Proxy di negara Turki sebagai Negara yang telah berhasil menyelenggrakan sistem e-Proxy yang dibuktikan dengan berkembangnya pasar modal nasional Turki dan penghargaan-penghargaan yang telah diraih sehingga dapat memberikan masukan dalam penerapan e-Proxy di Indonesia. Metode penelitian yang digunakan adalah yuridis-normatif, dengan menggunakan pendekatan perundang-undangan dan pendekatan kasus. Hasil analisis yang diperoleh dalam penelitian ini adalah keabsahan penerapan e-proxy pada sistem eASY.KSEI sebagai instrumen pemberian kuasa dalam e-RUPS memenuhi unsur-unsur yang terdapat pada Pasal 1320 KUHPerdata dan ketentuan sebagaimana terdapat pada Pasal 1792 KUHPerdata serta Pasal 5 ayat (1) UU ITE. Penerapan pemberian kuasa secara elektronik di Turki dilakukan sejak terbitnya Undang-undang RUPS Nomor 28395 Tahun 2012, seluruh emiten harus melakukan pengumuman rapat serta melaksanakan RUPS melalui sistem E-Gem yang dikembangkan oleh MKK yang merupakan lembaga kustodian sentral negara Turki. Peran Notaris adalah hadir dan menyaksikan RUPS yang tetap diselenggarakan secara terbatas dan membuat akta Berita Acara Rapat.

In holding the GMS (General Meeting of Shareholders), there are several obstacles that can be experienced by Public Companies, one of which is the difficulty of gathering shareholders to hold the GMS in the Covid-19 pandemic situation. The government as regulator issues POJK Number 15/POJK.04.2020 and POJK Number 16/POJK.04/2020. The law encourages the creation of an integrated and easy-to-use power of attorney system for shareholders, namely by administering an electronic power of attorney or e-Proxy to an public company. GMS, without injuring what has been regulated in the laws and regulations. By utilizing technological sophistication, it is possible that the shareholders of the company do not have to meet face-to-face in conducting the GMS, but the shareholders can provide an electronic power of attorney to the proxies to represent him/her in attending the GMS physically with limited attendance. As for this thesis, it discusses the validity of the e-proxy application in the eASY.KSEI system in terms of legal provisions in Indonesia, then the regulation of the e-Proxy application in Turkey and the role of the Notary in implementing e-proxy on KSEI's eASY.KSEI system as an instrument of power of attorney. in the e-GMS. The research method used is juridical-normative, using a statutory approach and a case approach. The results of the analysis obtained in this study are the validity of the application of e-proxy on the eASY system. KSEI as an instrument of power of attorney in the e-GMS fulfills the elements contained in Article 1320 of the Civil Code and the provisions as contained in Article 1792 of the Civil Code and Article 5 paragraph (1 ) UU ITE. The application of electronic power of attorney in Turkey has been carried out since the issuance of the GMS Law No. 28395 of 2012, all issuers must announce meetings and carry out the GMS through the E-Gem (Electronic General Assembly Meeting) system developed by MKK which is the central custodial institution of Turkey. .
