"Berkembangnya pasar modal menjadikan pasar modal mengemban peran yang cukup signifikan bagi pertumbuhan perekonomian pada masa modern saat ini. Salah satu kegiatan di dalam pasar modal sendiri adalah kegiatan perdagangan instrumen keuangan jangka panjang salah satunya adalah Pinjam-Meminjam Efek. Pinjam-Meminjam Efek hadir sebagai fasilitas yang dimanfaatkan bagi pemberi pinjaman yang ingin meminjamkan kepemilikan Efeknya dan pelaku Transaksi Short-Selling agar dapat melakukan Transaksi Short-Selling. Meskipun Transaksi Short-Selling sendiri memiliki kedua sisi pro dan kontra, Pemanfaatan fasilitas Pinjam-Meminjam Efek dalam Transaksi Short-Selling merupakan hal yang kerap dilakukan pada pasar modal di Indonesia dan perlu untuk diketahui lebih lanjut bagaimanakah implementasi mengenai pemanfaatan fasilitas Pinjam-Meminjam Efek dalam Transaksi Short-Selling di Indonesia. Dalam penelitian ini, metode penelitian yang digunakan penulis adalah yuridis-normatif yang akan diteliti berdasarkan peraturan perundang-undangan terkait dengan hukum pasar modal yakni terkait dengan Pinjam-Meminjam Efek dan Transaksi Short-Selling yang berlaku di Indonesia. Penelitian yang dilakukan oleh penulis memberikan hasil bahwa masih terdapat beberapa regulasi terkait dengan Pinjam-Meminjam Efek dan Transaksi Short-Selling yang berlaku di Indonesia yang belum memberikan perlindungan hukum yang memadai bagi pihak-pihak yang terkait di dalam transaksi tersebut. Lebih lanjut, belum terdapat regulasi khusus mengenai risiko dan upaya penyelesaian risiko atas pemanfaatan fasilitas Pinjam-Meminjam Efek dalam Transaksi Short-Selling di Indonesia. Atas hal tersebut, penulis menyimpulkan bahwa harus diatur lebih khusus lagi khususnya terkait dengan perlindungan hukum bagi pihak-pihak terkait dan upaya penyelesaian risiko atas pemanfaatan fasilitas Pinjam-Meminjam Efek dalam Transaksi Short-Selling di Indonesia.

The development of the capital market has made capital market plays a significant role for economic growth in modern times. One of the activities in the capital market itself is trading activities in long-term financial instruments, one of which is Securities Lending and Borrowing. Securities Borrowing and Lending is a facility that is used by lenders who want to lend their Securities ownership and those who do Short-Selling Transactions to be able to do Short-Selling Transactions. Although the Short-Selling Transaction itself has both pros and cons, the use of the Securities Borrowing and Lending Facility in a Short-Selling Transaction is something that is often done in the capital market in Indonesia and it is necessary to know more about how to implement the use of the Securities Borrowing and Lending facility in Short-Selling Transactions in Indonesia. In this study, the research method used by the author is juridical-normative which will be examined based on the laws and regulations related to capital market law, namely those related to Securities Borrowing and Lending and Short-Selling Transactions that apply in Indonesia. Research conducted by the author shows that there are still several regulations related to Securities Lending and Borrowing and Short-Selling Transactions that apply in Indonesia that have not provided adequate legal protection for the parties involved in the transaction. Furthermore, there are no specific regulations regarding risks and risk settlement efforts on the use of Securities Borrowing and Lending in Short-Selling Transactions in Indonesia. For this reason, the authors conclude that it must be regulated more specifically with regard to legal protection for related parties and efforts to resolve the risk of utilizing Securities Borrowing and Lending facilities in Short-Selling Transactions in Indonesia."
