"ABSTRACTShareholders dispute poses one of the most alarming problems in private companies, especially those that are regarded as a family owned company. The familial relations entwining the ownership and the management of a family owned company creates a big opportunity for majority shareholders to exercise their rights to the detriment of others. Various jurisdictions have addressed such issue by projecting the concept abuse of rights by majority shareholders abus de majorit . The concept is not only aimed to detect which behavior is considered as an abuse but also to provide legal measures for minority shareholders and companies. This research discusses the forms of abuse of rights committed by majority shareholders, the protection against such behavior, and the courts stance when faced with cases regarding disputes between shareholders. The juridical normative research concludes that majority shareholders tend to resort to certain forms of abuse of rights. It also found that there are several legal measures available under the Indonesian Company Law that can be used as a protection against majority shareholders abuse of rights. Moreover, the examination of cases suggests that the court tends to favor the minority shareholders interest when deciding disputes between shareholders. Nevertheless, the result of the research also suggests that there are still problems surrounding the legal measures available and that more stringent rules are needed to protect the minority shareholders and the Indonesian Companies interests.

ABSTRAKSengketa antar pemegang saham merupakan salah satu masalah yang paling mengkhawatirkan dalam perseroan tertutup khususnya perseroan tertutup yang merupakan perseroan milik keluarga. Hubungan keluarga yang mengikat kepemilikan dan pengelolaan perseroan milik keluarga menciptakan peluang besar bagi pemegang saham mayoritas untuk menggunakan hak mereka tanpa menghiraukan kerugian yang yang dapat diciptakan oleh hal tersebut. Pembahasan mengenai masalah ini telah dilakukan oleh berbagai Negara, dengan menciptakan konsep bernama, abuse of rights by majority shareholders abus de majorit. Konsep ini bukan hanya ditujukan untuk menempatkan perilaku apa saja yang dapat dikategorikan sebagai sebuah penyalahgunaan hak, namun juga ditujukan untuk menyediakan upaya hukum yang dapat digunakan oleh pemegang saham minoritas maupun perseoran yang merasa dirugikan. Penelitian ini membahas bentuk-bentuk abuse of rights by majority shareholders, perlindungan terhadap perilaku tersebut, dan sikap pengadilan ketika dihadapkan dengan kasus perselisihan antar pemegang saham. Penelitian yuridis normatif ini menyimpulkan bahwa pemegang saham mayoritas cenderung menggunakan beberapa bentuk abuse of rights. Selain itu, penelitian ini pun menemukan adanya berbagai upaya hukum yang dapat digunakan sebagai perlindungan terhadap perilaku tersebut. Eksaminasi terhadap putusan yang ada menunjukkan bahwa pengadilan cenderung mendukung kepentingan pemegang saham minoritas ketika memutuskan sengketa antara pemegang saham. Namun, penelitian ini juga menunjukkan betapa pentingnya pemberlakuan aturan yang lebih ketat untuk melindungi kepentingan pemegang saham minoritas dan Perseroan Terbatas.
