"ABSTRAKTesis ini membahas mengenai pelaksanaan danperan notaris dalam pemisahaan tidak murni spin off yang diatur didalam Undang-UndangNomor 40 Tahun 2007 tentang Perseroan Terbatas dan selanjutnya diatur dalam Peraturan Pemerintah. Namun hingga kini peraturan pemerintah tentang pemisahan tidak murni spin off belum diterbitkanoleh pemerintah. Meskipun demikian telah banyak perusahaan di Indonesia yang melakukan pelaksanaan kegiatan spin off. Adapun penelitian ini adalah penelitian deskriptif analitis.Adapun peran notaris dalam spin off yaitu notaris memiliki peran pada saat pembuatan akta spin off, yaitu pada saat rancangan spin off telah disetujui oleh Rapat Umum Pemegang saham. Hasil penelitian menyarankan agar pemerintah sesegera mungkin untuk membuat peraturan dalam bentuk peraturan pemerintah mengenai spin off agar munculnya kepastian hukum mengenai spin off di Indonesia.

ABSTRACT The focus of this study is the implementation and the roles of notary in spin off spelled out in Law Number 40 of 2007 regarding Limited Liability Company and subsequently regulated in Government Regulation. However, until now the government regulation of spin off has not been issued by the government. Nevertheless, there have been many companies in Indonesia that perform the implementation of spin off. This research is descriptive analytical research. The role of notary in spin off is to make the deed of spin off when the spin off design has been approved by the General Meeting of Shareholders. The researcher suggests that the government as soon as possible to make a regulation in the form of government regulations regarding spin off in order for the emergence of legal certainty regarding spin off in Indonesia."
