Abstrak :
Skripsi ini membahas mengenai tren akuisisi bank lokal oleh badan hukum asing. Pemerintah Indonesia membuka pintu bagi pemodal asing untuk memiliki paling banyak 99% saham di bank umum. Ketentuan tersebut dibentuk untuk memenuhi kebutuhan modal bank yang disebabkan oleh krisis moneter pada akhir tahun 1990-an. Peluang ini dimanfaatkan oleh pemodal asing untuk membeli saham bank-bank di Indonesia. Bahkan, hingga saat ini sebagian besar bank swasta di Indonesia dimiliki oleh asing. Oleh karena itu, penulis tertarik untuk membahas mengenai tren akuisisi bank lokal oleh investor asing yang telah dilakukan sejak krisis moneter sampai saat ini. Metode penelitian yang dipakai penulis adalah yuridis normatif, dimana dalam penelitian ini, penulis mengacu kepada hukum positif atau norma hukum tertulis. Untuk melihat tren ini, perlu ditinjau mengenai peraturan perundang-undangan yang mengatur mengenai akuisisi bank lokal oleh pihak asing, termasuk di dalamnya peraturan tentang kepemilikan saham bank umum, pemegang saham pengendali, kepemilikan tunggal, dan sebagainya. Penulis juga meneliti motif yang dimiliki oleh asing untuk mengakuisisi bank lokal. Pada dasarnya, tindakan akuisisi yang dilakukan oleh suatu perusahaan pasti dilatarbelakangi dengan niat untuk meningkatkan sinergi agar dapat memperoleh keuntungan yang lebih besar. Dalam skripsi ini, akan dijabarkan lebih lanjut mengenai latar belakang Indonesia sebagai target akuisisi investor-investor asing. Selain itu, penulis juga meneliti dan menganalisis dampak liberalisasi perbankan terhadap kepentingan nasional perbankan Indonesia dan juga terhadap bank yang diakuisisi itu sendiri. Hasil penelitian menunjukkan bahwa tren akuisisi bank lokal oleh badan hukum asing didasari oleh bertemunya penawaran dari investor asing yang ingin memperluas pasar dan permintaan Indonesia yang membutuhkan pemodal yang kuat. Penelitian ini juga menunjukkan bahwa tindakan akuisisi oleh asing berdampak positif bagi bank-bank di Indonesia yang dapat dilihat dari performa, efisiensi, dan inovasi. Bank-bank di Indonesia semakin maju dalam digitalisasi perbankan setelah diakuisisi oleh investor asing dari negara-negara maju. Demi memenuhi kebutuhan nasabah, bank-bank juga melakukan kerjasama yang inovatif dengan penyedia jasa yang populer di kalangan masyarakat. ......This thesis discusses the trend of acquisition of local banks by foreign corporations. The Government of Indonesia opens the door for foreign investors to own at most 99% of shares in commercial banks. The provision was established to meet the bank's capital needs caused by the monetary crisis in the late 1990s. This opportunity is utilized by foreign investors to buy shares of banks in Indonesia. In fact, until now most private banks in Indonesia are owned by foreigners. Therefore, the author is interested to discuss about the trend of acquisitions of local banks by foreign investors that have been carried out since the monetary crisis to date. Research method that used by the author is juridical-normative, whereas in this research, author refers to positive law or written norms law. To see this trend, it is necessary to review the laws governing the acquisition of local banks by foreign parties, including regulations on the share ownership of commercial banks, controlling shareholders, sole prop ownership, and so on. The author also examined foreign-owned motives for acquiring local banks. Predominantly, the acquisition actions carried out by a company must be motivated by the intention to increase synergy to obtain greater profits. In this thesis, it will be further described about Indonesia's background as the target of acquisition of foreign investors. In addition, the author also examines and analyzes the impact of banking liberalization on the national interest of Indonesian banks as well as on the banks acquired itself. The results showed that the trend of acquisition of local banks by foreign legal entities is based on the meeting of offers from foreign investors who want to expand the Indonesian market and demand that requires strong investors. This research also shows that foreign acquisitions have a positive impact on banks in Indonesia that can be seen from performance, efficiency, and innovation. Banks in Indonesia are increasingly advancing in banking digitization after being acquired by foreign investors from developed countries. In order to meet customer needs, banks also conduct innovative cooperation with service providers that are popular among the public.
