"Skripsi ini membahas mengenai analisis perlindungan hukum pemegang saham minoritas pada transaksi benturan kepentingan PT. Karwell Indonesia, Tbk. Putusan oleh mayoritas dalam RUPS tidak selamanya fair bagi pemegang saham minoritas dikarenakan prinsip majority rule dan one share one vote. Hal ini yang seringkali merugikan kepentingan pemegang saham minoritas meskipun pengambilan suara diambil dengan cara demokratis. Skripsi ini disusun dengan metode penulisan hukum normatif untuk menghasilkan data yang bersifat deskriptif analitis. Hasil penelitian menyimpulkan bahwa perlindungan pemegang saham tidak diterapkan baik oleh Direksi karena menyalahi prinsip fiduciary duties dan statutory duty. Hal ini dilihat dari pelanggaran terhadap hak pemegang saham minoritas yaitu tidak dilakukannya penilaian, tidak dilakukannya keterbukaan informasi segera setelah transaksi, dan tidak dilakukan RUPS Independen. Di sisi lain, BAPEPAM-LK melalui kewenangannya telah melindungi kepentingan pemegang saham minoritas dengan memberikan sanksi denda administratif.

This thesis discusses concerning analysis law protection of minority shareholders in conflict of interest transaction of Karwell Indonesia, Public Company. The decision by the majority shareholders in the General Meeting Shareholders (“GMS”) is not always fair for minority shareholders because of the principle of majority rule and one share one vote. This thesis organized by normative legal writing methods to generate data that is descriptive anlytical. The proceed of research conclude that shareholders protection is not implemented by Board of Director because violation of the principle of fiduciary duty and statutory duty. It is seen from violation of the rights of minority shareholders is not doing apraisal, did not commit the disclosure of information immediately after transaction, and not done Independent GMS. On the other hand, Capital Market and Financial Institution Supervisory Agency has been protecting the interest by an administrative penalty."

"Perwakilan Diplomatik Asing sebagai perwakilan resmi dari negara pengirim yang ada di Indonesia memiliki hak keistimewaan berupa kekebalan hukum yang lahir atas misi diplomatik yang dijalankannya berdasarkan Konvensi Wina 1961. Permasalahan muncul ketika warga negara indonesia yang bekerja pada Perwakilan Diplomatik Asing tersebut sering kali mendapatkan perlakuan tidak adil dan mengalami pemutusan hubungan kerja secara sepihak. Kekebalan hukum yang bersifat absolut berusaha ditembus untuk melindungi hak dari para pekerja yang telah dilanggar. Meskipun Pengadilan Hubungan Industrial telah menjatuhkan putusan yang mengabulkan dan memberikan hak pekerja lokal atas pemutusan hubungan kerja dimaksud, putusan tersebut tidak dapat dieksekusi terhadap Perwakilan Diplomatik Asing karena asas kekebalan hukum yang masih dimiliki oleh Perwakilan Diplomatik Asing tersebut.

Foreign Diplomatic Representatives as the official representatives of their sending state in Indonesia have privileges in the form of legal immunity that comes from their diplomatic missions they carry out based on the 1961 Vienna Convention. The problems arise when Indonesian citizens who work for the Foreign Diplomatic Representatives often receive unfair treatment and experience unilateral termination of employment. In this journal, the absoluteness of the immunity is trying to be penetrated to protect the rights of local workers who have been violated. Even though the Labor Court has handed down a decision that grants the local workers the right for their termination, the decision cannot be executed against the Foreign Diplomatic Representative because of the principle of immunity that the Foreign Diplomatic Representative still has."
