"At the end of twentieth century there were acquisition dominated business transaction within national scale and also international scale. In the international term there is known acquisition across border. corporate acquisition is one amongst many business strategies for developing corporation within home country and abroad without necessitated to set up a new legal business entity. Acquisition becomes a faster and easier selection in getting financial return. A rampant acquisition of corporation at this moment need to be supervised closely and carefully by many parties since the trend of dominant acquisition many break Antimonopoly Law and Banking law as happening with Maybank acquisition of BII. There is indication that the acquisition of BII's shares have broken Bank Indonesia regulation concerning single presence policy on Indonesia Banking. Nevertheless until now, the growing activities of shares acquisition across border have not comprehensively been regulated yet into regulation of Limited Corporation Law, Antimonopoly Law and Indonesia Banking Law."

"Kartel dipersepsikan sebagai bentuk paling berbahaya dari tindakan anti persaingan dan di beberapa yurisdiksi menerima penanganan dari perspektif hukum pidana. Sifat kerahasiaan kartel menjadi hambatan terbesar bagi otoritas persaingan usaha untuk membuktikan keberadaan kartel, hal mana juga dialami oleh Komisi Pengawas Persaingan Usaha di Indonesia. Untuk alasan ini, sejumlah besar yurisdiksi telah mengadopsi leniency program untuk mengungkapkan keberadaan kartel.Tesis ini membahas pengaturan dan implementasi leniency program dalam Antitrust Law di Amerika Serikat dan Antimonopoly Law di Jepang serta kemungkinan penerapannya dalam hukum persaingan di Indonesia. Penelitian ini adalah penelitian yuridis normatif yang menggunakan metode pendekatan perundang-undangan dan pendekatan perbandingan. Hasil penelitian menyarankan untuk menerapkan leniency program melalui amandemen Undang- Undang Nomor 5 Tahun 1999 dan sejalan dengan itu meningkatkan sanksi denda administratif yang diterapkan KPPU terhadap pelaku kartel.

Cartels are perceived as the most dangerous form of anti-competitive conduct and in some jurisdiction subjected to the criminal penalty regime. The confidential nature of cartel has been the biggest obstacle in proving their existence, which is also experienced by the Business Competition Supervisory Commission in Indonesia. Leniency programs uncover conspiracies that would otherwise go undetected and for this reasons numerous jurisdictions have adopted leniency program within their competition law regime. The study discussed the regulation of leniency program and its implementation both in the United States Antitrust Law and in Japan Antimonopoly Law. The study also addressed the possibility of leniency program? application in Indonesia. The study used juridical-normative research method which emphasis on the use of statute and comparative approach. The result suggest to implement leniency program in Indonesia through the amendment of Law No. 5 of 1999 and to increase the administrative fines imposed by the Commission against perpetrators of cartels."

"Skripsi ini membahas tentang Kedudukan Komisi Pengawas Persaingan Usaha Dalam Sistem Pemerintahan Indonesia. Melalui penelitian dapat diketahui bahwa KPPU merupakan lembaga negara independen yang mempunyai kewenangan eksekutif, yudikatif, dan legislatif. KPPU saat ini bekerja dengan baik dalam menjalankan tugasnya. Terhadap putusan yang dikeluarkan oleh KPPU hanya bersifat sanksi administratif. Sistem Kepegawaian yang dimiliki oleh KPPU terbagi menjadi dua (2) kategori, yaitu, PNS dan non- PNS. Para pegawai yang bekerja dalam KPPU yaitu para pekerja honorer. Dalam Penelitian skripsi ini menggunakan metode penelitian hukum normatif. Skripsi ini menyimpulkan bahwa pada dasarnya kewenangan yang dimiliki oleh KPPU sudah disebutkan sangat jelas pada Pasal 36 dalam Undang-udang.

This thesis discuss about the KPPU's position in the Indonesian governance system. Through this thesis, it is found that the commission is an independent state institution that has the authority to assist the executive, legislative and judiciary bodies. The Commission is currently working well in executing their duties. The decision issued by KPPU merely administrative sanctions. The employment system in KPPU is divided into two (2), that is, ivil servants (PNS) and non- civil servants (non- PNS). The employees who work in the KPPU are honorary workers. This research used the normative legal research method. This research concluded that the authorities owned by the commission have been very clearly stated in article 36 of Law Number 5 of 1999 about Antimonopoly Law, but in carrying out the powers, there are limitations that cannot be exceeded by the commission."
