Penelitian tentang penerapan sistem penjaminan simpanan di Indonesia adalah untuk memberikan jalan keluar terhadap masalah-masalah yang dihadapi industri perbankan dalam meningkatkan kepercayaan masyarakat, yaitu dengan cara: melihat pentingnya kepercayaan nasabah bagi industri perbankab; menjelaskan peranan skim penjaminan simpanan dalam memelihara bahkan meningkatkan kepercayaan masyarakat terhadap industri perbankan; menguraikan mekanisme skim penjaminan simpanan dan prasyarat pendukung bagi pendirianya; menganalisis kemungkinan penerapan skim asuransi simpanan di Indonesia.

Metode penelitian disertasi ini, sesuai dengan yang dikenal dalam kepustakaan penelitian hukum (legal research), menggunakan penelitian hukum normatif. Karena itu upaya memperoleh data dalam penelitian ini dilakukan dengan melakukan penelitian kepustakaan, yaitu mengumpulkan data sekunder, baik yang berupa bahan hukum primer, sekunder maupun bahan hukum tertier seperti konsep-konsep, doktrin-doktrin dan perundang-undangan atau kaedah hukum yang berkaitan dengan penelitian ini.

Prinsip keterbukaan menjadi persoalan inti di pasar modal dan sekaligus merupakan jiwa pasar modal itu sendiri. Keterbukaan tentang fakta materiel sebagai jiwa pasar modal didasarkan pada keberadaan prinsip keterbukaan yang memungkinkan tersedianya bahan pertimbangan bagi investor, sehingga secara rasional dapat mengambil keputusan untuk melakukan pembelian atau penjualan saham.

Penelitian ini mempunyai tujuan untuk memperluas cakrawala pemikiran mengenai penegakan prinsip keterbukaan dan penindakan perbuatan yang menyesatkan di pasar modal dengan cara melihat kekurangan Undang-undang Pasar Modal Indonesia dalam mengatur kewajiban menegakkan prinsip keterbukaan dan penentuan fakta materiel di pasar modal; mengembangkan doktrin hukum yang berkaitan dengan prinsip keterbukaan agar dapat menunjang penegakan prinsip tersebut secara penuh dan adil dalam menciptakan pasar modal yang efisien; menemukan pemikiran-pemikiran baru untuk menegakkan prinsip keterbukaan dan penentuan fakta materiel di Indonesia

In its development of the last three years, there has been a new phenomenon in Indonesia jurisdiction; i.e. public claims made using a class action procedure. The utilization of such a procedure has been made so frequently and obtained legal forces because it has got us opportunity and justification in a variety of Indonesian legislations; among other things: law no. 23, 1997 concerning environmental management, law no. 8, 1999 regarding consumer protection and law no. 41 governing forestry followed up by a litigation procedure through the supreme court?s regulation no. 1, 2002. such a regulation has bridged the concept and legal theory which is subsequently used to execute .civil dalm procedures since there has been a shift from using an individual model to using a representative one. before the supreme court issued this regulation, courts had always' rejected collective claims on the ground that Indonesias civil law, especially section 123 of hir, a revised indonesia's law, stated that such claims could be brought up their claimants or by hiring Iavvyers. without a special authorization, however, lawyers could not represent class interest to be in session of court now, on the basis of article 4 of supreme court regulation to represent a ciass interest, the representative is not required to have this special authorization from the group he represents. social groups having the some case shoulclnot bring their case individually to prevent a recurrent case from happening. this oollective claim, class action, can be made at a lower cost so that the general public may bring their claims to court. in addition, to void mutually controversial verdicts, when each individual make his own claim, class action constitutes to be a more effident procedure. class action as a litigation procedure has its historical, social and cultural background in the common law system. therefore, class action as an effort of civil law reform in Indonesia has a tendency toward the civil law system; from legal comparison viewpoint, lt requires brillian thoughts on the part of judges in order to implement the existing laws actively; let alone, when we consider that the supreme court regulation no. 1, 2002 is but a way of transferring on America or Australian model. on the other hand, class action as a legal protection over Indonesian communities can be exercised as a social control; i.e. as social norms against deviant behaviours and their effects that include prohibitions, demands, condemnation and compensation. dispude resolution procedures with regard to compensation over unlawful deeds in class action should be prepared in detail, covering mechanism of its distribution for all members of a class including suggestions on court proving or panel to help distribute compensation more smoothly. when a compensation demand is approved, a judge isobliged to decide in detail the class grouping, compensation distribution mechanism`and steps to be taken by class representatives such as the obligation of notification. among the frequent cases are environmental function recovery, waste management improvement, pollution source eradication, compensation for the affected group and attitudinal changes among law breakers. Besides, class action as a tool of social engineering, that is, when a gap between law and social change appears, should find its solution whereas class action as a social emancipation means the equal right among various aspects of social life.based on the fact that court decision in class action is binding to all, any interest group using this procedure should help reduce administrative problems. this new phenomenon in Indonesia jurisdiction, public claims using a class action procedure, ls relevant to Frederick Calvert's theory. the people?s interest represented by a class action is in accordance with the theoiy of utilitarianism proposed by Jeremy Bentham. judges, accordingly, should make their decision on the basis of equilibrium principle between individual and collective interests as put forward by John Rawls In his theory of justice. rules are then needed to avoid a conflict of interests, between individual and collective ones. law as an umpire is indispensable.

Secara historis trusts adalah produk dari sistem equity, yang berada di luar sistem common law, yang hanya dikenal dalam tradisi hukum Anglo Saxon. Dengan konsepsi yang demikian, berani trusts tidak akan pernah ditemukan padanannya dalam tradisi hukum Eropa Kontinental, yang hanya mengenal satu sistem saja, yaitu sistem peradilan yang berdasarkan hukum. Namun demikian penelilian menunjukkan bahwa meskipun tradisi hukum Eropa Kontinental tidak mengenai sistem equity, prinsip-prinsip equity telah dikenal luas dan dapat ditemukan dalam kitab undang-undangnya. Salah satu produk equity dalam tradisi hukum Eropa Kontinental adalah juducial yang berdasarkan ciri-ciri dan karakteristik yang dikemukakan dalam penelitian ini serupa dengan trust. Bentuk-bentuk pranata hukum dalam tradisi hukum Eropa Kontinental yang mengandung unsur fiducia selanjutnya dikenal dengan nama trusts like institution atau civil law trusts. Di samping itu, globalisasi yang terjadi juga telah menyebabkan masuknya, dipinjamnya, dipergunakannya, dan ditransplantasikannya trusts ke dalam kitab undang-undang seperi di Quebec, atau undang-undang tersendiri seperti di negara Cina, yaitu negara-negara yang semula bertradisi hukum Eropa kontinental. Indonesia sebagai negara yang bertradisi hukum Eropa Kontinental, karena penjajahan oleh Belanda selama tiga ratus lima puluh tahun, ternyata juga telah mengadopsi pranata serupa trusts dalam Kitab Undang-Undang Hukum Perdata dan Kitab Undang-Undang Hukum Dagangnya yang merupakan konkordan dari kitab serupa di Belanda waktu itu. Selain itu masuknya institusi pasar modal dari Amerika Serikat ke Indonesia, juga telah memasukkan pranata trusts dalam pasar modal ke dalam sistem hukum Indonesia. Dengan demikian. Indonesia telah mengalami dua kali transplantasi ?trusts?, yaitu transplantasi pranata serupa trusts pada masa penjajahan, yang ada dalam kitab Undang-Undang Hukum Perdata dan Kitab Undang-Undang Hukum Dagangnya, dan transplantasi trusts dalam Undang-Undang Pasar Modal. Disertasi ini dengan mempergunakan metode perbandingan hukum, berdasarkan fungsi dan ciri-ciri, menganalisis dan menunjukkan bahwa ternyata kedua bentuk transplantasi hukum tersebut dapat hadir berdampingan, oleh karenya keduanya memiliki ciri-ciri dan karakteristik trusts yang netral, sebagairnana ditentukan dalam Hague Convention on the Law Applicable to Trusts and on Their Recognition, yaitu trusts yang tidak lagi berpangkai pada keberadaan sistem equity yang hanya ada pada tradisi hukum Anglo Saxon. Disertasi ini juga membuktikan bahwa sampai sejauh ini pendapat Watson adalah benar. Pertama, dalam transplantasi hukum, yang ditransplantasikan adalah ide, substansi dan strukturya, yang dapat dipelajari, serta bukan sistem hukum itu sendiri. Kedua, produk transplantasi selalu berbeda dari asalnya oleh karena produk hasil transplantasi selalu menyesuaikan diri dengan sendirinya pada negara di mana transplantasi dilakukan.

Disertasi ini secara khusus akan menelaah bagaimana peranan hukum dalam pengembangan usaha kecil melalui penyaluran dana oleh lembaga perbankan sebagaimana ditetapkan dalam Undang-undang tentang Perbankan, oleh karena perangkat hukum merupakan prasyarat dan prakondisi yang akan mendukung pemberdayaan pengusaha golongan usaha kecil. Penelaahan tersebut mencakup dasar kewenangan pemerintah untuk menetapkan kebijaksanaan khusus bagi usaha kecil, peraturan perundang-undangan yang mengatur penyaluran Kredit Usaha Kecil termasuk jenis-jenis Kredit Usaha Kecil dan kendala yang ada dalam penyalurannya, lembaga jaminan dalam pemberian kredit untuk Usaha Kecil., bunga kredit bank konvensional atau imbalan/bagi hasil dalam pembiayaan bank syariah serta kebijaksanaan pengembangan Usaha Kecil di beberapa negara lain. Dengan kata lain ingin ditelaah bagaimana peranan hukum dalam pengembangan usaha kecil melalui penyaluran kredit perbankan. Penelitian yang dilakukan merupakan penelitian hukum normatif yang bersifat analitis-eksploratif yang mengacu kepada norma-norma hukum yang dituangkan dalam berbagai peraturan perundang-undangan yang berlaku baik yang berlaku di Indonesia maupun di negara lain. Di samping itu dilakukan penelitian bahan-bahan kepustakaan (bidang hukum dan bidang lainnya) meliputi kepustakaan bahan-bahan Indonesia dan bahan-bahan kepustakaan dari negara lain, antara lain dari Amerika Serikat, Jepang, dan Bangladesh.
