BUMN memiliki peranan penting dalam perekonomian nasional. Menyadari akan hal tersebut, maka pemerintah, melalui Surat Keputusan Menteri BUMN Nomor: Kep-117/M-MBU/2002 Tanggal 1 Agustus 2002, yang telah diperbaharui dengan Per-01/MBU/2011, tanggal 1 Agustus 2011, mewajibkan penerapan Good Corporate Governance (GCG) secara konsisten oleh BUMN dan menjadikan prinsip-prinsip GCG sebagai landasan operasional BUMN. Data hasil assessment atas 109 BUMN sampai dengan akhir tahun 2009 menunjukkan bahwa dalam periode tahun 2007 sampai dengan tahun 2009 penerapan GCG pada BUMN secara umum masih perlu ditingkatkan agar bisa memperoleh predikat "sangat baik" atau sesuai dengan best practices penerapan GCG. Untuk mengetahui hambatan-hambatan penerapan GCG pada BUMN diambil contoh PT Kliring Berjangka Indonesia (Persero) atau disingkat PT KBI, sebagai studi kasus. Jenis penelitian ini adalah penelitian kualitatif. Hasil penelitian menyarankan hal-hal yang harus dilakukan agar dapat memacu percepatan penerapan GCG di BUMN yaitu: (i) dorongan peraturan (regulatory driven) dari Kementerian BUMN. Untuk itu disarankan agar Kementerian BUMN menyempurnakan peraturan-peraturan GCG beserta petunjuk teknis pelaksanaannya; (ii) meningkatkan komitmen seluruh organ GCG BUMN untuk menindaklanjuti hasil assessment GCG dan proaktif dalam melakukan benchmarking terkait perannya masing-masing dalam GCG; (iii) me-refresh peranan masing-masing organ dalam GCG; (iv) menerapkan sistem reward and punishment terkait penerapan GCG.
SOEs have an important role in the national economy. Considering this, the government, through SOE Minister Decree No. Kep-117/M-MBU/2002, on August 1, 2002, which has been updated with Per-01/MBU/2011, on August 1, 2011, requires the application of the Good Corporate Governance (GCG) consistently by the state and make the principles of GCG as the foundation of operational state. Data assessment results over 109 SOEs by the end of 2009 showed that in the period of 2007 until 2009 the implementation of GCG in SOEs in general still needs to be improved in order to earn the title of "very good" or in accordance with the application of GCG best practices. To determine the constraints on SOEs GCG taken sample of PT Kliring Berjangka Indonesia (Persero) or abbreviated PT KBI, as a case study. This type of research is qualitative research. The results suggest things to do in order to encourage the acceleration of the implementation of GCG in SOEs, that is: (i) regulatory driven from Ministry of SOEs. It is recommended that the Ministry of SOEs to improve the rules of GCG and their technical implementation guide. (ii) Enhance the commitment of all state organs to follow up the results of assessment and proactive in benchmarking related to their respectives roles in GCG. (iii) Refresh the roles of each organ in the GCG; (iv) Implementing the systems of reward and punishment related to the implementation of GCG. |
