Pokok permasalahan yang dibahas dalam penelitian ini adalah mengenai tanggung jawab pribadi anggota Direksi Perseroan Terbatas menurut UUPT No. 40/2007 (UUPT). Sebagai badan imajiner (artificial person), perseroan tidak memiliki kehendak untuk menjalankan dirinya sendiri. Orang perorangan yang akan menjalankan kewenangan, tugas dan kewajibannya disebut dengan organ Perseroan yang terdiri dari Rapat Umum Pemegang Saham (RUPS), Dewan Komisaris dan Direksi. Direksi adalah pengurus dan wakil Perseroan di dalam dan di luar Pengadilan. Dalam menjalankan tugas dan kewenangan pengurusan Perseroan, semua anggota Direksi wajib mematuhi ketentuan yang terdapat dalam UUPT dan Anggaran Dasar Perseroan. Apabila Direksi melanggar ketentuan UUPT atau Anggaran Dasar Perseroan (tindakan ultra vires) yang mewajibkan Direksi mendapatkan persetujuan terlebih dahulu dari RUPS atau Dewan Komisaris untuk melakukan suatu perbuatan hukum, maka perbuatan hukum yang dilakukan oleh Direksi tanpa persetujuan RUPS atau Dewan Komisaris tersebut secara yuridis tetap mengikat Perseroan sepanjang pihak lain dalam perbuatan hukum tersebut beritikad baik. Anggota Direksi Perseroan tidak dapat dipertanggung jawabkan atas kerugian Perseroan apabila dapat membuktikan bahwa kerugian Perseroan tersebut bukan karena kesalahan atau kelalaiannya dan telah melakukannya dengan itikad baik dan penuh kehati-hatian untuk kepentingan Perseroan serta tidak ada benturan kepentingan dan telah mengambil tindakan pencegahan atas kerugian tersebut. The focus of this research is the personal liability of the member of the Board of Directors (?BOD?) of the Limited Liability Company in accordance with the Limited Liability Company Law No. 40/2007 (?Company Law?). As an imaginary entity (artificial person), the Company has no will to run themselves. Individuals who will run the authority, tasks and obligations the Company are called the Company organ consisting of the General Meeting of Shareholders (?GMS?), the Board of Commissioners (?BOC?) and BOD. The Board of Directors is authorized to manage and represent the Company in or outside of the Court. In carrying out the management duties and authority of the Company, the Directors must comply with the provisions of the Company Law and the Articles of Association of the Company. If the BOD violated the provisions of the Company Law or the Articles of Association of the Company (acts ultra vires) to require the BOD obtained the prior approval of the GMS or the BOC to undertake a legal action, the legal action taken by the BOD without the approval of the GMS or the BOC of the Company will remain binding on the Company if the other parties conduct that legal act in good faith. The BOD?s member shall not be responsible to any losses of the Company if He/She can prove that those losses are not caused by his/her torts or negligent and has done it in good faith and full of awareness for Company?s interest, do not have any material personal interest and has done a preventive action to those losses. |
