Abstract
ABSTRAK
Pemisahan suatu divisi pada perusahaan merupakan salah satu bentuk restrukturisasi perusahaan. Pelaksanaan pemisahan pada PT Pegadaian (Persero) dilakukan berdasarkan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas dan Undang-Undang Nomor 19 Tahun 2003 tentang Badan Usaha Milik Negara. Pemisahan dilakukan untuk melakukan pembagian risiko usaha dan meningkatkan fokus terhadap bidang usaha gadai konvensional. Metode penelitian yang digunakan adalah studi kepustakaan yang bersifat yuridis-normatif. Hasil penelitian menyarankan agar pelaksanaan pemisahan dilakukan saat Rancangan Undang-Undang Gadai atau peraturan pelaksanaan usaha gadai lainnya telah disahkannya. Pelaksanaan pemisahan berpotensi mengurangi esensi perlindungan kepada masyarakat kecil. Sejalan dengan hukum persaingan usaha, pelaksanaan pemisahan akan menghilangkan praktik monopoli yang dilakukan oleh PT Pegadaian (Persero).
ABSTRACT
Spinning off a division in a company is one form of restructuring a corporate. The spin-off plan in PT Pegadaian (Persero) is based on Law No. 40 year 2007 on Limited Liability Company and Law No. 19 year 2003 on State-Owned Enterprise. The aim of spinning off the sharia division is to conducting the basic principle of sharia business. The method used in this study is a juristic-normative literature review. The result of this study is a suggestion that the process of spin-off on this company could be done after the draft of Pawning Law or other regulation is published as the basis for the implementation of pawning business. The spinning off also has the potential to reduce the essence of protection on low income people to access affordable loan as such pawning services. To be accordance with the law of competitive business, the spinning off implementation will dismissed the monopoly practice done by PT Pegadaian (Persero).
