ABSTRAK Skripsi ini bertujuan untuk menganalisis penerapan corporate governance PTBank Pundi Indonesia Tbk baik selama proses dan pasca akuisisi. Evaluasitersebut mencakup perlindungan stakeholders saat proses akuisisi, perbandingangovernance structure selama proses dan pasca akuisisi, serta implementasiprinsip-prinsip corporate governance pada pasca akuisisi. Hasil analisismenunjukkan bahwa PT Bank Pundi Indonesia Tbk telah melindungi kepentinganstakeholders pada proses akuisisi, memiliki governance structure yang membaikserta telah menerapkan prinsip-prinsip terkaitgood corporate governance padapasca akuisisi. Disimpulkan pula bahwa akuisisi berperan sebagai salah satugovernancemechanism yang akhirnya berhasil membuat bank tidak lagi diawasiintensif oleh Bank Indonesia, karena PT Bank Eksekutif Internasional Tbk(identitas bank sebelum akuisisi) mengalami masalah permodalan dan kreditmacet sebelumnya. ABSTRACT This study analyzes the corporate governance implementation in both process andpost-acquisition of PT Bank Pundi Indonesia Tbk. It includes the analysis on theprotection of stakeholders? right during acquisition, comparing the governancestructure during the process and post-acquisition, and the implementation ofcorporate governance principles post acquisition. The result indicates that PTBank Pundi Indonesia Tbk has given the necessary treatment to protect thestakeholders? right, has improved the governance structure and also hasimplemented the corporate governance principles. The study also concludes thatacquisition has the role as a governance mechanism that leads the bank out of theintensive supervision by Bank Indonesia, since PT Bank Eksekutif InternasionalTbk (bank?s identity before acquisition) had a capital adequacy and bad debtsproblem earlier. |
