 Abstract
Skripsi ini membahas prosedur penawaran umum berkelanjutan (shelf registration) yang mulai berlaku di Indonesia sejak ditetapkan otoritas pasar modal akhir tahun 2010. Prosedur ini mempunyai kelebihan dibanding prosedur penawaran umum biasa. Namun ketentuan penawaran umum berkelanjutan di Indonesia masih mempunyai banyak keterbatasan bila dibandingkan dengan aturan serupa di negara lain. Penawaran umum berkelanjutan di pasar modal Indonesia hanya diperbolehkan untuk efek hutang dan belum diijinkan untuk efek saham. Dalam tulisan ini dipaparkan perbedaan peraturan penawaran umum berkelanjutan dengan negara pembanding Amerika Serikat dan Inggris. Dengan perbandingan tersebut, dapat diambil pelajaran yang penting untuk perbaikan peraturan penawaran umum berkelanjutan di Indonesia. ...... This thesis discusses shelf registration procedure which started to apply in Indonesia following its enactment by the capital market authority at the end of 2010. Shelf registration procedure is considered more efficient compared to common public offering procedures. However, shelf registration in Indonesia has many limitations compared to those in other countries. Shelf registration procedure in Indonesia only applies to issuance of debt securities and not allowed for issuance of equity securities. This paper will describe the difference between shelf registration procedures in Indonesia and those in the United States and England. From the comparison result, we will learn important knowledge to improve Indonesia shelf registration procedures.
