Dalam skripsi ini dibahas mengenai MTN (Medium Term Notes) sebagai alternatif pembiayaan bagi perusahaan yang menyimpan masalah dari penerbitan dari produk MTN yang diterbitkan di Indonesia dengan belum adanya pengaturan yang baku sebagai acuan untuk penerbitan MTN, perlindungan bagi investor pemegang MTN. Tidak diwajibkannya izin dari Otoritas Jasa Keuangan (OJK) untuk penerbitannya, menyebabkan peningkatan emisi surat utang yang tidak butuh izin efektif menjadi masalah. MTN tidak diwajibkan adanya pemeringkatan, jaminan untuk pelunasan bunga dan utang pokok dan kurangnya keterbukaan informasi baik perusahaan penerbit MTN, MTN yang diterbitkan, serta pihak-pihak yang terlibat di dalamnya. Sebagai produk investasi yang belum memiliki pengaturan membuat risiko untuk mengalami kerugian bagi investor, menjadi tinggi dan tidak ada kepercayaan dari investor terhadap MTN tersebut. Maka diperlukan suatu pengaturan baik dari segi MTN sebagai produk investasi, sebagai surat berharga berupa efek bersifat utang dan pengawasan dari otoritas yang berwenang untuk mengawasi penerbitan MTN, agar terdapat suatu kepastian hukum dalam penerbitan MTN serta perlindungan terhadap investor calon pemegang MTN. This thesis discussed regarding MTN (Medium Term Notes) as an alternative financing for companies still produce some problems for issuance of the MTN which published in Indonesia. The things which important to look out for are the regulations or provisions of the issuance of this notes as a investment product does not yet exist as a reference for the issuance of MTN, then the issuance does not need any registration or permit from the financial services authority (OJK). MTN as debt securities still does not need any obligation for rating for the need of the issuance, then in the practice these days MTN is not warranted, lack of publicity about the information about the issuer, the MTN product and the parties involved in the mechanism of the issuance. MTN with all the problems its has, could increase the risks and suffer losses for investors and there is no trust of the investors on MTN which to be issued. Regulations or rules about MTN are indeed needed, both in terms of MTN as investment products, MTN as a form of securities which are debt securities and the provisions of the authorities to authorized and supervise the issuance of MTN in order as a reference for the company or issuer for issuing MTN as well as the protection of the potential holders of MTN investors, so that there is a legal certainty in issuance the MTN as well as protection for the holders of MTN. |
