Dalam tesis ini akan dibahas mengenai penggunaan surat kuasa yang dibuat di bawah tangan yang tidak sesuai dengan isi daripada surat kuasa tersebut. Padahal dengan diaturnya secara jelas mengenai isi dari suatu surat kuasa, maka tindakan yang tidak dikuasakan kepada penerima kuasa tidak dapat dilaksanakan oleh penerima kuasa atau dengan kata lain bahwa perbuatan hukum yang tidak dimuat di dalam suatu surat kuasa adalah batal demi hukum. Dengan menganalisa studi kasus Putusan Pengadilan Negeri Jakarta Pusat Nomor: 666/PID/B/2012/ PN.JKT.PST, yang menjatuhkan pidana kepada terdakwa karena terbukti melakukan tindakan penipuan dan pemalsuan. Adapun surat kuasa tersebut dengan sengaja dibuat oleh pihak yang ingin memperkaya diri sendiri dengan menggunakan kop surat dan logo perusahaan yang lama, padahal perusahaan telah beralih kepada pihak lain karena pemindahan seluruh hak atas saham perseroan. Dasar pemindahan hak atas saham ini adalah dengan keputusan sirkuler yang mengesampingkan ketentuan mengenai menawarkan terlebih dahulu kepada pemegang saham yang ada dan mengatur pengalihan secara langsung tanpa melalui Direksi Perseroan. Kasus ini dianalisis secara eksplanatoris analitis yang mana penelitian tesis ini merupakan penelitian hukum normatif yang bersifat penelitian eksplanatoris, dengan menggunakan cara analisis data secara kualitatif. Penelitian hukum normatif ini menggunakan penalaran deduktif yang mengandung kebenaran koheren. Kesimpulan dari tesis ini adalah penyelenggaraan RUPS diluar rapat telah sesuai dengan ketentuan Pasal 91 UUPT dan perlindungan hukum bagi pihak ketiga sebagai implikasi hukum dengan adanya cacat yuridis di dalam surat kuasa. This thesis will discuss about the use of power of attorney issued under the hand that does not comply with the content rather than the power of attorney. And with the regulation clearly about the contents of a power of attorney, then the action is not authorized to receiver power can not be implemented by the proxyin other words that the legal act that is not contained in a letter of authority is null and void. By analyzing case study of Putusan Pengadilan Negeri Jakarta Pusat Nomor: 666/PID/B/2012/ PN.JKT.PST, that convicted the defendant for committing acts of fraud and forgery. The power of attorney is deliberately created by those who want to enrich themselves by using the old letterhead and the old logo of the company, whereas the company has switched to other parties for the transfer of all rights over the shares of the company. The basis transfer of these shares is the circular resolutionwhich override the provisions of the offer prior to the existing shareholdersand arrange transfer directly without going through the Board of Directors. This caseis analyzed where the explanatory analytical study of this thesis is a normative legal research explanatory researchby using qualitative data analysis. This normative legal research uses deductive reasoning containing coherent truth. The conclusion of this thesis is the implementation of a general meeting of shareholders outside the meeting in accordance with the provisions of Article 91 of the Company Law and legal protection of third parties as legal implications with the juridical defect in the power of attorney. |
