ABSTRAK Tesis ini bertujuan untuk menelaah kelengkapan pengaturan perjanjian lindung nilai hedging produk terstruktur structure product jenis Target Redemption Swap untuk tujuan lindung nilai hedging dalam sistem hukum di Indonesia Menjelaskan perlindungan hukum seperti apa yang diberikan bagi pihak yang beritikad baik dalam perjanjian lindung nilai hedging dan menganalisis keterkaitan antara azas keseimbangan para pihak dalam perjanjian dengan itikad baik serta menganalisis pertimbangan hakim dalam putusan lindung nilai hedging terhadap kasus Standar Chartered Bank melawan PT Pelayaran Tempura Emas Penulis menemukan bahwa pengaturan tentang structured product belum terlalu diatur sedemikian rupa setidaknya hingga tahun 2008 Perhatian yang serius berkenaan dengan produk terstruktur baru benar benar dilakukan pada tahun 2009 Selanjutnya masih belum ada kesepakatan tentang apa yang dimaksud dengan itikd baik dan bagaimana itikadbaik pada tahap pra kontrak dilaksanakan masih didebatkan karena tidak ada pengaturannya dalam KUHPerdata Praktek selama ini berpedoman pada yurisprudensi. ABSTRACT This thesis aims to examine the completeness of law regulating hedging agreement on structured products particularly Target Redemption Swap type for hedging purposes To explain what kind of legal protection given to parties acting in good faith in the agreement of hedging and to analyse the relationship between the principle of the balance of the parties to the agreement in good faith as well as to analyse the ruling of judgement in the consideration of hedging above the Standard Chartered Bank against PT Pelayaran Tempura Emas case The research method deployed in this thesis is a normative juridical using cases approach The authors found that the regulation of structured products have not been arranged in that much weight at least until 2008 The serious concern with regard to new structured products actually imposed in 2009 Furthermore there is still no consensus in regard to what is meant by good faith and how the principle works at the pre contract is still debatable since there is no regulation in the Civil Code The common practice has been guided by the jurisprudence. |
