ABSTRAK Tesis ini bertujuan untuk mengkaji secara mendalam kedudukan anakperusahaan, hubungan dan tanggungjawab perusahaan induk, serta penerapanprinsip limited liability dan piercing the corporate veil dalam kontruksiperusahaan kelompok berbentuk piramida. Perusahaan kelompok adalahgabungan atau susunan dari perusahaan-perusahaan yang secara yuridis mandiri, yang membentuk satu kesatuan ekonomi yang dikendalikan oleh pemimpin sentral yaitu perusahaan induk sehingga menimbulkan celah hukum antara aspek yuridis dan realitas perusahaan kelompok yang disebabkan oleh kerangka pengaturan keterkaitan induk dan anak perusahaan dalam kontruksi perusahaan kelompok. Fakta pengendalian oleh perusahaan induk dalam kontruksi perusahaan kelompok yang mempengaruhi kemandirian anak perusahaan disebabkan oleh perubahan status anak perusahaan dari subjek hukum yang mengendalikan menjadi objek pengendalian perusahaan induk sehingga pengurusan sehari-hari perseroan ditunjukan kepentingan perusahaan kelompok sebagai kesatuan ekonomi. Hasil penelitian menyarankan bahwa perusahaan induk yang melakukan pengendalian terhadap anak perusahaan harus bersedia bertanggung jawab atas pengendaliannya tersebut, dimana pada prakteknya anak perusahaan seringkali dijadikan sebagai boneka dari perusahaan induk untuk kepentingannya, sehinggapenerapan prinsip good corporate governance harus ditekankan agarkepengurusan anak perusahaan dan perusahaan induk terjaga transparansinya ABSTRACT The focus of this research is to examine the depth of subsidiaries, relationships and responsibilities of the parent company, as well as the application of the principle of limited liability and piercing the corporate veil in a construction of pyramid shaped company group. The group company is a compound or composition of the companies that are legally independent, which form a single economic entity which is controlled by the leader of the central namely the parent company, giving rise to a legal loophole between the judicial aspect and the realities of this group due to the regulatory framework linkage parent and subsidiary companies in construction of a group companies. The fact is, control by the parent company in a construction of a group companies affect the independence of the subsidiary due to changes in the status of a subsidiary of the controlling legal subjects into a objects of controlling so that the parent company controls the management of the company's daily for the company's interests as a group of economic unit. The results of the study suggest that the parent company that doing an controling should be willing to be responsible for their control, wherein in practice a subsidiary is often used as a puppet of the parent company's interests, so that the application of the principles of good corporate governance should be emphasized that the management of the subsidiary and the parent company maintained its transparency |
