Tulisan ini membahas mengenai proses pergantian kreditor dalam kredit sindikasi dengan melakukan studi kasus pergantian kreditor dalam kredit sindikasi pembangunan Hotel Paradiso. Adapun pokok permasalahan dalam tulisan ini antara lain adalah mengenai pergantian kreditor dalam pemberian fasilitas kredit melalui perjanjian kredit sindikasi, serta dampak hukum pergantian kreditor dengan peralihan partisipasi kredit dalam kredit sindikasi pembangunan Hotel Paradiso tersebut. Tujuan dari tulisan ini adalah secara umum untuk mengetahui apa saja yang menjadi penyebab peralihan partisipasi kredit, bagaimana prosedur dilakukannya, serta dampak hukum apa yang kemudian ditimbulkan dari peralihan partisipasi kredit tersebut. Metode penelitian yang digunakan dalam penelitian ini adalah penelitian kepustakaan yang ditujukan untuk mengumpulkan dan melengkapi bahan untuk memperkaya sumber penelitian. Berdasarkan pembahasan terdapat 5 lima alasan peralihan partisipasi kredit yakni peningkatan CAR dan rasio profitabilitas Bank, adanya BMPK, Restrukturisasi Loan Portfolio dari Bank serta Penyelesaian Krisis Perbankan di Indonesia. Kemudian terdapat 5 lima prosedur peralihan partisipasi kredit yakni cessie, subrogasi, novasi, sub-participation dan assignment. Bahwa prosedur peralihan partisipasi kredit yang terdapat dalam Perjanjian Kredit Sindikasi Pembangunan Hotel Paradiso dapat dilakukan melalui cessie. Dimana dengan sahnya peralihan partisipasi kredit berdampak pada kewajiban debitor untuk melakukan pembayaran kepada kreditor baru dengan melalui agent bank. This thesis will discuss the process of the change of creditors that have been occured in the Construction of Hotel Paradiso Syndicated Loan. The main problems that will be discussed are the change of creditors during the credit facility in the syndicated loan agreement, and the legal impact of the change of creditors in the Construction of Hotel Paradiso Syndicated Loan. The purpose of this thesis is to acknowledge the causes of the change of creditors, the process, and the legal impact that has been caused by the change of creditors itself. This writing uses literature study method to add the source to the research. Based on the discussion, there are 5 five causes of the change of creditors which are CAR and profitability ratio progress, the maximum credit given and loan portfolio restructurisation, also Banking crisis settlement. There are also 5 five process of the change of creditors which can be done by cessie, subrogation, novation, subparticipation and assignment. The process of the change of creditors in the Construction of Hotel Paradiso Syndicated Loan Agreement can be done by cessie. With validity of the change of creditors made a legal impact with the obligations of the debtor to pay its debt to the creditors through the agent bank. |
