Dana Investasi Real Estate berbentuk Kontrak Investasi Kolektif ldquo;DIRE Berbentuk KIK rdquo; merupakan wadah untuk menghimpun dana masyarakat di pasar modal, yang selanjutnya diinvestasikan pada aset real estat atau aset yang berkaitan dengan real estat yang menghasilkan pendapatan berkesinambungan income-generating property , yaitu pendapatan sewa. DIRE Berbentuk KIK merupakan penerapan konsep Real Estate Investment Trust REIT yang berasal dari pasar modal Amerika Serikat. Dengan menerapkan konsep trust, yang secara formal belum diakui dalam hukum Indonesia, terdapat permasalahan pada landasan normatif pelaksanaan DIRE Berbentuk KIK. Diargumentasikan dalam penelitian ini bahwa konsep trust dapat diterapkan dalam DIRE Berbentuk KIK, yang esensinya dapat ditemukan pada hukum mengenai pemberian kuasa dalam Kitab Undang-undang Hukum Perdata. Selain itu, terdapat permasalahan mengenai kepemilikan tanah, yang sesuai hukum tanah wajib dimiliki oleh orang perorangan atau badan hukum. Untuk mengatasi hal tersebut, penelitian ini menunjukkan bahwa DIRE Berbentuk KIK dapat dilaksanakan melalui Special Purpose Company berbentuk perseroan terbatas. Terakhir, notaris sebagai pejabat umum yang berwenang membuat akta pendirian perseroan terbatas Special Purpose Company tersebut dapat mengalami kesulitan atau keraguan dalam menentukan pihak mana yang menjadi penghadap jika notaris yang bersangkutan masih awam terhadap konsep trust. Penelitian ini menunjukkan bahwa notaris dapat menentukan bahwa penghadap adalah Manajer Investasi dari DIRE Berbentuk KIK yang bersangkutan, berdasarkan konep trust. Metode penelitian yang digunakan adalah metode yuridis normatif terhadap data sekunder berkenaan dengan hukum mengenai pasar modal, pertanahan, perseroan terbatas, perikatan, jabatan notaris, serta regulasi-regulasi terkait dengan DIRE Berbentuk KIK.
Dana Investasi Real Estat berbentuk Kontrak Investasi Kolektif ldquo DIRE Berbentuk KIK rdquo is a fund to collect investors rsquo capital in the capital market, which will in turn be invested into real estate assets or assets related to real estate which comprise as income generating property rent income . DIRE Berbentuk KIK is the practical application of the Real Estate Investment Trust REIT originating from the United States capital market. By applying the trust concept, which has not been formally recognized under Indonesian laws, we may identify the issue of the normative basis for the implementation of DIRE Berbentuk KIK. Nevertheless, it is argued in this research that the trust concept is applicable within DIRE Berbentuk KIK, which its basic fundamentals may be found under the laws regarding the granting of power of attorney within the Civil Code. Moreover, this research identifies the issue of ownership of land title, which, according to land law, must be owned by invididuals or legal entities. To overcome this issue, this research explains that a DIRE Berbentuk KIK may conduct its investments through a Special Purpose Company in the form of a limited liability company. Lastly, a notary as a public official authorized to create a limited liability company establishment deed for the said Special Purpose Company may experience difficulty or hesitancy in determining the signatory authorized to sign the deed, if the notary is not well informed of the trust concept. This research demonstrates that notaries may deterimine that the signatory authorized to sign the establishment deed is the Investment Manager of the DIRE Berbentuk KIK, based on the trust concept. This research utilizes the normative legal method to analyze the issues at hand, based on secondary data in relation to the laws regarding the capital market, land, limited liability companies, obligations, the office of the notary, and the regulations regarding DIRE Berbentuk KIK. |
