ABSTRAK Pada skripsi ini membahas mengenai penerapan konsep decisive influence dalam tanggung jawab perusahaan grup terhadap pelanggaran persaingan usaha yang dilakukan oleh anak perusahaan. Permasalahan yang akan dijawab adalah bagaimana tanggung jawab dan hubungan perusahaan grup terhadap anak perusahaan dalam hukum Indonesia, bagaimana penerapan konsep decisive influence terhadap tanggung jawab perusahaan grup terhadap pelanggaran persaingan usaha oleh anak perusahaan dan Bagaimana perbedaan penerapan tanggung jawab Perusahaan Grup terhadap tindakan pelanggaran persaingan usaha oleh Anak Perusahaan berdasarkan ketentuan hukum Indonesia dan konsep decisive influence. Skripsi ini merupakan penelitian hukum normatif yang menggunakan analisa kualitatif mengenai konsep decisive influence dalam tanggung jawab induk perusahaan terhadap pelanggaran persaingan usaha yang dilakukan oleh anak perusahaan. Hasil Penelitian ini menyimpulkan bahwa dengan konsep decisive influence suatu perusahaan grup dapat dibebankan tanggung jawab terhadap tindakan pelanggaran persaingan usaha yang dilakukan oleh anak perusahaan di mana terdapat kepemilikan seluruh atau mayoritas saham meskipun induk perusahaan grup tidak terlibat langsung dengan tindakan tersebut. Dengan demikian perlu adanya suatu pembaharuan dalam ketentuan hukum persaingan usaha yang mengatur konsep decisive influence. ABSTRACT In this thesis discusses about implementation of the decisive influence concept in the liability of the group corporation towards competition law infringement conducted by it rsquo s subsidiary company. The issues to be addressed are how the group 39 s corporate responsibilities and relationships relate to subsidiaries in Indonesian law, how to implemented the concept of decisive influence to the group 39 s corporate liability towards competition law infringement by it rsquo s subsidiaries and How differences between the Group Corporation rsquo s liability towards competition law infringement conducted by Subsidiaries under Indonesian law and the concept of decisive influence. This thesis is conducted under a normative legal research that uses qualitative analysis related to the concept of decisive influence in the liability of the parent company of the group corporation towards the infringement of business competition conducted by a subsidiary. The results of this study conclude that the concept of decisive influence makes group corporation may be liable for competition law infringement conducted by a subsidiary in which there is an ownership of the whole or a majority of shares even though the parent company group is not directly involved with the conducts. Therefore, there needs to be a renewal in the business competition law that includes a regulation of the concept of decisive influence in group corporation rsquo s liability. |
