ABSTRAK Ratifikasi adalah merupakan tindakan pengukuhan, pengambilalihan, penerimaan suatu tindakan atau perbuatan hukum yang telah dilakukan sehingga tindakan atau perbuatan hukum tersebut menjadi sah menurut ketentuan hukum yang berlaku. Kasus-kasus yang dibahas di dalam tesis ini adalah mengenai perbuatan hukum yang dilakukan oleh Direksi untuk mengalihkan kekayaan Perseroan lebih dari 50 lima puluh persen dari jumlah kekayaan bersih yang dimiliki oleh Perseroan, yang harus memperoleh persetujuan dari RUPS hal ini sebagaimana ketentuan Pasal 102 ayat 1 huruf a UUPT, namun di dalam Perkara No.282/Pdt.G/2013/PN.Bks., anggota Direksi yang melakukan tindakan hukum telah lewat masa jabatannya dan di dalam Permohonan Penetapan No.20/Pdt.P/2016/PN.Btm, terdapat ketidak sepahaman di antara para pemegang saham Perseroan sehingga tidak tercapai ketentuan kuorum kehadiran dan kuorum keputusan sebagaimana yang ditetapkan di dalam Pasal 89 UUPT. Tesis ini menggunakan bentuk penelitian yuridis-normatif dengan analisa preskriptif. Hasil penelitian diharapkan dapat membantu Notaris ketika membuat suatu Berita Acara Rapat dapat mengerti mengenai penulisan yang tepat suatu agenda dan keputusan RUPS dan membantu Notaris untuk lebih mengerti syarat-syarat yang harus dipenuhi oleh suatu PT yang diwakili oleh Direksi ketika akan melakukan pengalihan aset yang lebih dari 50 lima puluh persen jumlah kekayaan bersih yang dimiliki oleh Perseroan Terbatas. ABSTRACT Ratification is an act of confirmation, takeover, acceptance of legal act or legal conduct that has been done so that the legal actions or legal conduct of such law is becoming legitimate according to the provisions of applicable law. The cases discussed in this thesis are about the legal action which performed by the member of board of Directors on diverting more than 50 fifty percent of the amount of total net assets owned by the Company, which must obtain approval from the GMS, this is stated in the provisions of Article 102 paragraph 1 letter a of the Company Laws, but in the Case No. 282 Pdt.G 2013 PN.Bks., members of the board of Directors completed a legal action that has been through his tenure and in the Application for Determination No. 20 Pdt.P 2016 PN.Btm, there is disagreements amongst the shareholders of the Company therefore it is not reached the provisions of quorum of attendance and the quorum of the decision as set out in Article 89 of the Company Laws. This thesis uses the form of juridical normative research with prescriptive analysis. The results of this research are expected to help the Notary when making deeds of Shareholders Meeting especially on legal writting of the agenda and the decision of shareholders meeting and also to help the Notary to have better understanding regarding the requirements that must be met by a limited liability company which represented by the member of Directors diverting the company rsquo s assets which more than 50 fifty percent of the amount of total net assets owned by the Limited Liability Company. |
