ABSTRAK Seiring dengan perekonomian Indonesia yang semakin berkembang mendorong peningkatan akan investasi baru, baik yang berasal dari dalam negeri maupun luar negeri. Salah satu bentuk yang dipilih oleh investor luar negeri adalah dengan cari mendirikan perusahaan penanaman modal asing dalam bentuk perseroan terbatas. Untuk dapat mendirikan perseroan terbatas, investor asing yang dalam hal ini bertindak sebagai pendiri perusahaan harus hadir dihadapan Notaris dalam rangka pembuatan akta pendirian perusahaan. Undang-undang mengatur ketentuan mengenai pemberian kuasa oleh para pendiri yang tidak dapat hadir secara langsung dihadapan notaris untuk menuangkan maksud dan tujuannya dalam bentuk surat kuasa. Lebih lanjut, bagi pendiri yang berada di luar negeri ketika menandatangani surat kuasa untuk menghadap notaris, peraturan perundang-undangan mensyaratkan surat kuasa yang ditandatangani di luar negeri tersebut harus terlebih dahulu dilegalisasi oleh perwakilan Indonesia di negara tempat dokumen ditandatangani apabila hendak dipergunakan di Indonesia. Dalam pelaksanaannya, ada kalanya surat kuasa yang dibuat oleh pendiri yang berada diluar negeri yang digunakan sebagai dasar penerima kuasa menghadap Notaris untuk mewakili kepentingan Pemberi Kuasa, tidak dilegalisasi terlebih dahulu sebelum dikirim ke Indonesia. Kemudian, Notaris yang berhadapan dengan penerima kuasa mengizinkan menandatangani Akta Pendirian berdasarkan surat kuasa yang ditandatangani pendiri tersebut meskipun tanpa ada legalisasi. Tesis ini membahas mengenai pentingnya proses legalisasi dokumen luar negeri untuk digunakan di Indonesia yang akan dijadikan dasar pembuatan akta notaris jika tidak dilaksanakan sesuai prosedur dapat berdampak pada keabsahan akta yang dibuat tersebut. ABSTRACT The steady growth of the Indonesian economy is encouraging an increase in new investment, both domestic and from abroad. One form chosen by foreign investors is to establish a foreign investment company in the form of a limited liability company. To be able to establish a limited liability company, the foreign investor that is acting in this matter as a founder of the company must appear before a notary in order to produce the deed of company establishment. The Law stipulates a provision on granting of proxy authority by a founder who is unable to appear in person before the notary to set forth the company rsquo s purpose and objectives, in the form ofa power of attorney. Furthermore, for a founder who is outside the country, when signing the power of attorney to appear before the notary, the legislation requires that a power of attorney that is signed abroad must first be legalized by an Indonesian diplomatic officer in the country where the document is signed if it is to be used in Indonesia. In the implementation, it sometimes happens that a power of attorney that is produced by a founder who is abroad which is used by the proxy in appearing before the notary to represent the interests of the principal has not first been legalized before it is sent to Indonesia. The notary before whom the proxy is appearing then allows the proxy to sign the Deed of Establishment based on the power of attorney signed by the founder even though it has not been legalized. This thesis discusses the importance ofthe process of legalization of the document abroad that will be used in Indonesia as the basis for production of the notary deed it is not done in accordance with the procedure, this may affect the legality of the deed that is produced. |
