ABSTRAK Berawal dari masih kurangnya pemahaman tentang pengertian dan konsep pemberian kuasa lastgeving dan volmacht yang seringkali masih dianggap sama, oleh karena itu diperlukan pemahaman mendasar mengenai konsep pemberian kuasa lastgeving dan volmacht. Permasalahan yang akan dibahas dalam tesis ini mengenai pembatalan sepihak yang dilakukan atas akta PPJB dimana telah tercantum dalam surat kuasa yang merupakan perjanjian diantara kedua belah pihak dan telah dilakukan pemenuhan prestasi sebagian sehingga seharusnya tidak dapat dilakukan pembatalan secara sepihak. Apabila terjadi demikian maka perlindungan hukum apa yang dapat di terima oleh pemberi kuasa tersebut. Bentuk penelitian ini merupakan penelitian yuridis normatif dengan sumber data utamanya adalah data sekunder. Penelitian ini bersifat kualitatif dan hasil penelitian berbentuk deskriptif analisis. Konsep pemberian kuasa lastgeving berbeda dengan volmacht. Lastgeving memberikan kewajiban mewakili yang lahir dari perjanjian sedangkan volmacht memberikan kewenangan mewakili yang lahir dari tindakan hukum sepihak. Perlindungan hukum terhadap pemberi kuasa adalah dapat menuntut ganti rugi kepada penerima kuasa berdasarkan Pasal 1799 dan 1800 KUHPerdata. Seharusnya apabila telah dilakukan prestasi meskipun sebagian itu telah mengikat kedua pihak sehingga tidak boleh dilakukan pembatalan secara sepihak dan juga perlu diperhatikan pemberian kuasa yang sengaja dilakukan untuk pemindahan hak secara terselubung dilarang dengan ancaman batal demi hukum sehingga sebaiknya tidak dilakukan. ABSTRACT Starting from the lack of understanding of the meaning and concept of granting power of lastgeving and volmacht. Then there is a fundamental difference between the two, but it is often still considered the same. The next problem is the one-sided cancellation carried out by the recipient of the power of attorney to the power of attorney a foreign citizen regarding the Deed of Sale and Purchase Agreement PPJB. Therefore a basic understanding of the concept of lastgeving and volmacht authorization is needed. The unilateral cancellation made regarding the PPJB deed has been stated in the power of attorney which is an agreement between the two parties which has caused the rights and obligations for the parties so that it should not be able to be done unilaterally. If this happens, then what legal protection can be given by the power of attorney. The form of this research is normative juridical research with the main data source is secondary data. This research is qualitative in nature and the results of the study are in the form of descriptive analysis. The concept of granting lastgeving power is different from volmacht. Lastgeving provides obligations representing those born of agreements while volmacht provides authority representing those born of unilateral legal actions. Legal protection for the power of attorney is to be able to claim compensation from the power of attorney as regulated in Articles 1799 and 1800 of the Civil Code. Each party should have a good faith and fulfill what has been promised and agreed upon and it is also necessary to pay attention to the deliberate granting of power to covertly transfer the rights is prohibited with the threat of null and void so that it should not be done. |
