Tesis ini membahas mengenai Akta Berita Acara Rapat Umum Pemegang Saham Luar Biasa PT BPM yang dibuat oleh Notaris SS dengan didasari Irrevocable Power of Attorney. Yang mengakibatkan pengalihan saham yang tidak dikehendaki oleh pemegang saham sehingga menimbulkan kerugian baginya. Dalam tesis ini terdapat dua permasalahan yaitu (1) implikasi keabsahan Irrevocable Power of Attorney SOP terhadap Akta Berita Acara Rapat Umum Pemegang Saham Luar Biasa pada PT BPM dan (2) tanggung jawab notaris atas Akta Berita Acara Rapat Umum Pemegang Saham Luar Biasa PT BPM yang telah dibuat. Metode penelitian yang digunakan adalah yuridis normatif, yakni penelitian yang dilakukan untuk menelaah norma hukum tertulis untuk menganalisis Putusan Mahkamah Agung Nomor 1580 K/Pdt/2018 dengan jenis data sekunder dan alat pengumpulan data studi dokumen atau bahan Pustaka. Hasil penelitian menyatakan bahwa Irrevocable Power of Attorney yang digunakan sebagai dasar pelaksanaan RUPS LB melampaui kewenangan dari yang dikuasakan kepada penerima kuasa. Sehingga menyebabkan Akta yang dibuat menjadi batal demi hukum. Akibat dari pembatalan akta notaris tersebut juga menyebabkan akta autentik yang dibuatnya mengalami penurunan kekuatan pembuktian sehingga menjadikannya akta dibawah tangan sepanjang diakui oleh para pihak dan mempunyai kekuatan pembuktian tetapi tidak autentik. This thesis discusses to The Deed of Minutes of the Extraordinary General Meeting of Shareholders at PT BPM which was made by the Notary SS based on the Irrevocable Power of Attorney. Which resulted in the transfer of shares that were not desired by the shareholder so as to cause loss to him. In this thesis there are two issues, namely (1) the implications of validity of the Irrevocable Power of Attorney SOP on The Deed of Minutes of the Extraordinary General Meeting of Shareholders at PT BPM and (2) the Notary's responsibility for The Deed of Minutes of the Extraordinary General Meeting of Shareholders at PT BPM that has been made. The research method used is normative juridical, which is research conducted to study written legal norms to analyze Supreme Court Decision Number 1580 K/Pdt/2018 with secondary data types and data collection tools for study documents or library materials. The results of the study stated that the Irrevocable Power of Attorney used as the basis for the implementation of the Extraordinary General Meeting of Shareholders exceeded the authority of the power of attorney. Thus, causing the deed made to be null and void. As a result of the cancellation of the notarial deed, it also causes the authentic deed he made to experience a decrease in the strength of proof, making it an underhand deed as long as it is recognized by the parties and has evidentiary power but is not authentic. |
