Penelitian ini berisi uraian mengenai kekuatan hukum akta pengikatan tukar menukar saham dengan tanah yang dibuat oleh Notaris dalam Putusan Mahkamah Agung Nomor 1479 K/Pdt/2018. Masalah yang dikaji adalah kekuatan hukum akta pengikatan tukar menukar saham yang dibuat oleh Notaris yang proses balik namanya tidak dapat terlaksana karena tanah objek tukar menukar dibeli pihak ketiga dan akibat hukum perbuatan jual beli tanah dalam hal penjual bukan pemilik barang. Metode penelitian yang digunakan berupa penelitian hukum normatif dengan tipologi penelitian preskriptif. Alat pengumpulan data yang digunakan ialah studi dokumen dengan metode analisis kualitatif. Bentuk hasil penelitian ini adalah preskriptif-analitis. Hasil dari penelitian ini bahwa perjanjian pengikatan tukar menukar saham dengan tanah berdasarkan ketentuan Pasal 1320 KUHPerdata dan kewenangan notaris membuat akta tersebut adalah sah dan mengikat, tidak hanya itu pengalihan kepemilikan atas saham dan hak atas tanah antara Pihak I dan Pihak II/ Penjual telah terjadi melalui penyerahan benda. Sehingga Pihak II/ Penjual tidak berwenang menjual tanah objek tukar menukar kepada Pihak III/ Pembeli. Akibat hukum perbuatan jual beli tanah dalam hal penjual bukan pemilik barang adalah batal demi hukum berdasarkan ketentuan Pasal 1471 KUHPerdata. Sehingga dengan ditetapkan oleh hakim bahwa perjanjian jual beli atas tanah tersebut batal demi hukum, kantor pertanahan patuh dan berwenang untuk mengeluarkan surat pembatalan pendaftaran tersebut. Luaran/output yang ingin dicapai dari penelitian ini adalah untuk menghasilkan karya ilmiah berupa tesis yang dapat dijadikan sebagai bahan acuan bagi penulis lainnya di masa yang akan datang. This research contains descriptions regarding the legal force of the binding exchange of shares with land deed made by Notary in the Supreme Court Verdict Number 1479 K/Pdt/2018. The problem studied is the legal force of the binding exchange of shares made by Notary in which the title transfer cannot be carried out because the object was purchased by a third party and as the legal consequences for unauthorized land selling. The research method used is normative legal research with prescriptive typology. The data collection tool used is document study with qualitative analysis methods. The result of this research is in prescriptive-analytical form. This research will show that the binding exchange of shares with land deed that is based on Article 1320 of the Indonesian Civil Code and the authority of Notary to make the deed is legal and binding. Not only that, the ownership transfer of the shares and land rights between the First Party/the owner of the shares and the Second Party/the seller of the land has occurred through delivery of objects. The Second Party is not authorized to sell the land, which is the object of the exchange deed, to a Third Party/the buyer. The legal consequences of land selling by someone who is not the owner is null and void as stipulated on Article 1471 of the Indonesian Civil Code. As the sale and purchase agreement declared null and void by the judge, the National Land Agency has the authority to issue a letter of cancellation the the registration. This research aims to produce scientific paper in form of postgraduate thesis which can be used as reference material by other writers in the future. |
