Suspensi adalah salah satu sanksi yang dapat dijatuhi oleh Bursa Efek Indonesia (BEI) apabila terdapat indikasi bahwa Perusahaan Tercatat melanggar ketentuan dalam Peraturan BEI. Dengan dijatuhi sanksi Suspensi oleh BEI, maka Saham Perusahaan Tercatat tidak dapat diperdagangkan di (a)pasar reguler dan pasar tunai atau (b)di seluruh pasar sekunder, termasuk pasar negosiasi. Apabila suatu saham telah disuspensi sekurang-kurangnya selama 24 (dua puluh empat) bulan, maka BEI dapat melakukan forced delisting atau penghapusan pencatatan emiten terhadap Perusahaan Tercatat yang berkaitan. Namun, pada praktiknya, banyak Perusahaan yang telah disuspensi lebih dari 24 (dua puluh empat) bulan tetapi tidak juga di-delisting oleh BEI. Suspensi yang berlangsung lama tanpa batas waktu maksimal yang jelas menimbulkan ketidakpastian hukum dan merugikan para investor. Hal ini jelas bertentangan dengan tujuan dijatuhkannya sanksi suspensi sebagai bentuk perlindungan bagi investor. Skripsi ini akan membahas mengenai kesesuaian penerapan suspensi saham PT Bakrie Telecom Tbk dengan ketentuan III.3.1.2 Kep-308/BEJ/07-2004. Selain itu, akan ditinjau pula mengenai tindakan yang dapat dilakukan investor publik atas ketiadaan batas watuu suspensi yang dijatuhkan oleh BEI. Penelitian ini menggunakan pendekatan yuridis normatif dengan metode case approach dan comparative approach yang berdasarkan studi kepustakaan dan wawancara. Hasil penelitian menunjukkan bahwa walaupun tujuan perpanjangan suspensi PT Bakrie Telecom Tbk adalah untuk memberikan kesempatan kedua bagi perusahaan tercatat untuk dapat terus membenahi kondisi perusahaan, penerapan suspensi saham PT Bakrie Telecom Tbk oleh BEI tetaplah tidak sesuai dengan jangka waktu sebagaimana diatur dalam ketentuan III.3.1.2 Kep-308/BEJ/07-2004, yaitu 24 (dua puluh empat) bulan karena PT Bakrie Telecom Tbk telah disuspensi dari 2019 hingga saat ini (2023). Untuk menghadapi ketidaksesuaian penerapan sanksi suspensi PT Bakrie Telecom Tbk, investor publik PT Bakrie Telecom Tbk dapat memilih untuk menjual saham tersebut di OTC (over the counter) atau menunggu sampai diangkatnya status suspensi oleh BEI dan menjual saham tersebut dengan periodic call auction di pasar reguler.
Suspension is one of the sanctions imposed by the Indonesia Stock Exchange (IDX) when there is an indication that the listed company violates the regulations of the IDX. With the imposition of a suspension sanction by the IDX, the shares of the Listed Company cannot be traded on the market. If a stock has been suspended for at least twenty-four months, the IDX may carry out a forced delisting or removal of the listed status of the related issuer. However, in practice, many companies have been suspended for more than twenty-four months but have not been delisted by the IDX, causing legal uncertainty which clearly contradicts the purpose of imposing suspension sanctions as a form of investor protection. This thesis discusses the appropriateness of applying the suspension to PT Bakrie Telecom Tbk in accordance with the regulation of III.3.1.2 Kep-308/BEJ/07-2004. Furthermore, it examines the actions that can be taken by public investors in the absence of a clear time limit for suspensions imposed by the IDX. This research employs a normative juridical approach with the case and comparative methods based on literature studies and interviews. The research findings indicate that although the purpose of extending the suspension of PT Bakrie Telecom Tbk is to provide a second chance for the listed company to improve its condition, the application of the suspension by the IDX is still not in line with the specified time limit of 24 (twenty-four) months according to the regulation III.3.1.2 Kep-308/BEJ/07-2004, as PT Bakrie Telecom Tbk has been suspended from 2019 until today, august 2023. To address the inconsistency in the application of the suspension sanction for PT Bakrie Telecom Tbk, public investors of PT Bakrie Telecom Tbk may choose to sell their shares over the counter or wait for the lifting of the suspension status by the IDX and sell their shares through periodic call auctions in the regular market. |
