"Penelitian ini membahas terkait pemindahan hak atas saham pada PT Permitra Parahyangan Prakasa, yang tidak memenuhi unsur pelunasan pembayaran kepada pihak penjual, hingga berakibat ketidakabsahan atas akta-akta yang sudah ditandatangani oleh para pihaknya, sebagaimana putusan Pengadilan Tinggi DKI Jakarta Register Perkara Nomor 51/PDT/2019/PT.DKI. Cek yang diberikan pembeli pada saat penandatanganan akta jual beli saham, kemudian terbukti di dalam persidangan merupakan cek kosong. Penelitian bertujuan menganalisis keabsahan dalam transaksi, serta membahas terkait notaris sebagai pihak yang membuatkan akta autentik, dimana memiliki peran penting memeriksa pernyataan dan dokumen terkait dengan akta yang hendak dibuat para penghadapnya. Menjawab permasalahan tersebut, digunakan metode penelitian hukum yuridis normatif, dengan teknik pengumpulan data yang diperoleh melalui studi dokumen, dan dihubungkan dengan praktik pelaksanaannya. Hasil analisis adalah setiap pihak wajib memenuhi syarat sahnya perjanjian, dan unsur esensial peristiwa jual beli, dalam transaksi pengalihan saham. Perlu adanya pembaharuan sistem administrasi data badan hukum bidang perseroan terbatas (“SABH”), seperti syarat bukti pembayaran pelunasan transaksi, untuk pendaftaran perubahan data pemegang saham pada perseroan terbatas tertutup secara khususnya.

This research analyze the consequences of the transfer of shares in PT Permitra Parahyangan Prakasa, which does not comply the essential aspect of buying and selling activities, so it has resulted in the invalidity of deeds signed by the parties, as the decision of the DKI Jakarta High Court Register Case Number 51 / PDT / 2019 / PT.DKI. The buyer has submitted the cheque as a payment to the seller, when signing the Deed of Sale and Purchase. It turns out that a cheque with delayed disbursement, has been proven to be a blanked cheque in the proceedings. This research aims to analyze the validity of the transaction, as well as discuss the responsibilities of the notaries who make authentic deed, which has an important role in examining statements and documents related to the deed, that the parties intend to make. In solving the problems, the normative judicial law research method was used, with data collection technique through document study to be associated with implementation practice. Analysis shows the result, that to fulfil the validity of the Deed of Sale and Purchase of shares, the parties shall consider to the fulfilment of the terms of validity of the agreement, and essential aspect of the buying and selling activities. Another aspect is that requires regulation in the data administration system of limited liability company (“SABH”), related to the submission of repayment receipt in share transaction, in the scope of private limited liability company in particular."

"Notaris adalah pejabat umum yang menjalankan pelayanan hukum kepada masyarakat dan berwenang membuat akta otentik. Di dalam prakteknya, tidak sedikit Notaris yang mengalami masalah sehubungan dengan akta yang telah dibuatnya dinyatakan batal demi hukum oleh putusan pengadilan karena cacat hukum dalam perbuatannya setelah akta tersebut ditandatangani oleh para pihak. Notaris bahkan dapat menjadi Tergugat atau Turut Tergugat di persidangan seperti dalam kasus pemindahan hak atas saham Perseroan yang dapat beralih hanya berdasarkan Berita Acara Rapat Umum Pemegang Saham Tahunan dan Surat Pemindahan Hak Atas Saham dibawah tangan yang diduga dipalsukan oleh Penerima Hak, dengan tanpa membuat Akta Pemindahan Hak Atas Saham. Notaris harus mencermati bahwa tidak cukup hanya dengan Berita Acara RUPS Tahunan Perseroan yang menyatakan ditutupnya RUPS tersebut secara otomatis terjadi peralihan hak atas saham dari Pemberi Hak kepada Penerima Hak. Pemindahan hak atas saham seharusnya diikuti dengan pembuatan akta pemindahan hak yang terpisah dari Berita Acara tersebut.
Tulisan ini menggunakan metode penelitian yang bersifat yuridis normatif yaitu penelitian kepustakaan, yang menggunakan sumber data sekunder yang telah ada serta menganalisis beberapa peraturan perundang-undangan yang berkaitan dengan tanggung jawab Notaris. Setelah melakukan penelitian dan analisa maka penulis menyimpulkan bahwa Notaris dalam menjalankan jabatannya jika terbukti telah melakukan pelanggaran terhadap kewajiban dan larangan yang diatur dalam UU Nomor 30 tahun 2004 tentang Jabatan Notaris dan peraturan perundang-undangan lainnya maka pihak yang menderita kerugian karena hal tersebut dapat menjadikan Notaris sebagai tergugat atau turut tergugat dan menuntut penggantian biaya, ganti rugi dan bunga terhadap Notaris ataupun juga akta yang dibuat oleh Notaris tersebut berakibat dapat dibatalkan ataupun batal demi hukum.

Notaries are public officials who carry out legal services to the public and authorize to make an authentic deed. In practice, some of the Notary experiencing problems in connection with the deed that they made is declared null and void by a court verdict because of their law disability in their actions after the deed is signed by the parties. Notary can be the Defendant or even the Co-defendant in the trial as in the case of the transfer of rights of shares of the Company which can be transfered only by the Minutes of the Annual General Meeting of the Shareholders and the Letter of Transfer of Rights of Shares in private deed which allegedly forged by the Assignee, without making the Deed of Transfer of Rights of Shares. Notary must observe that it is not enough just to rely on the Minutes of the Annual General Meeting of the Company that stated the closing of the meeting is automatically the transfer of rights of shares from the Assignor to the Assignee occurred. The transfer of rights of shares shall be followed by the deed of the transfer of rights of shares that are separate from the minutes meeting.
This thesis uses the research method that is the normative juridical which is literature research, using secondary data sources that already exist and analyze several laws relating to the liability of the Notary. After conducting research and analysis, the author conclude that the Notary in the their position if proven to have committed a breach of their obligations and restrictions as set forth in Law No. 30 of the year 2004 regarding Incumbency of the Notary and other regulations then the party who suffer losses because of it can make a Notary as a defendant or co-defendant and demand reimbursement of expenses, damages and interest to the notary or also the deed that is made by the notary can be cancelled or annulled by law.

"Pemindahan Kepemilikan atas Saham yang dimiliki oleh seorang individu seringkali menimbulkan permasalahan. Terutama jika pemindahan tersebut  tidak sesuai dengan peraturan yang ada saat ini, yaitu dengan diikuti oleh akta pemindahan hak atas saham. Penelitian ini bersumber dari permasalahan bagaimana keabsahan kepemilikan saham yang tercatat dalam dokumen korporasi tanpa adanya pemindahan hak atas saham menurut Putusan Nomor 53/PDT/2023/PT TPG dan bagaimana akibat hukum dari kemilikan saham yang tercatat dalam dokumen korporasi tanpa adanya perbuatan pemindahan hak atas saham menurut Putusan Nomor 53/PDT/2023/PT TPG. Penelitian ini menerapkan metode penelitian doktrinal dengan jenis data sekunder dan analisis kualitatif. Dalam penelitian ini dapat diambil simpulan bahwa pemindahan hak atas saham tidak bisa dilakukan hanya dengan perubahan anggaran dasar, melainkan harus dilakuakn Rapat Umum Pemegang Saham terlebih dahulu, dan dibuatkan akta pemindahan hak atas saham, baik akta notaril maupun akta di bawah tangan dan pencatatan dalam Daftar Pemegang Saham menjadi hal yang penting dilakukan sebagai salah satu bukti kepemilikan atas saham tersebut.

Transfer of ownership of shares owned by an individual often raises issues, especially if the transfer does not comply with current regulations, namely by being accompanied by a dead of transfer of ownership of shares. The research stems from the issue of the validity of share ownership recorded in corporate document without a transfer of ownership of shares according to Decision Number 53/PDT/2023/PT TPG and the legal consequences of shares ownership recorded in corporate documents without an act if transfer of ownership of shares according to Decision Number 53/PDT/2023/PT TPG. This research applies a doctrinal research method with secondary data and qualitative analysis. From this research, it can be concluded that transfer of ownership of shares cannot be done solely by amending the article of association, but must be done through a General Meeting of Shareholders first, and a deed of transfer of ownership of shares, either a notarial deed or a private deed, and recording in the Shareholders Register are important steps to be taken as evidence of ownership of those shares."

"PPJB adalah perjanjian antara pihak penjual dengan pihak pembeli sebelum dilakukan jual beli karena terdapat syarat-syarat yang belum terpenuhi untuk dilakukan jual beli. Namun dalam perkembangannya, terdapat beberapa kasus utang piutang yang dibuatkan akta PPJB oleh Notaris sebagai jaminan hutang. Seperti dalam kasus gugatan Pengadilan Negeri Nomor 621/Pdt.G/2019/ PN. Sgr. Atas dasar akta PPJB dengan Kuasa Menjual tersebut kreditur melakukan proses balik nama di BPN. Sedangkan dalam proses pengalihan hak atas tanah tersebut terdapat aspek-aspek pajak yang harus dipenuhi oleh para pihak sebelum melakukan proses balik nama di BPN. Mulai dari PPh, PBB, dan BPHTB. Tesis ini menganalisis mengenai prosedur pengalihan hak atas tanah atas dasar perbuatan hukum utang piutang dalam kasus Putusan Pengadilan Negeri Singaraja Nomor 621/Pdt.G/PN.Sgr dan peran Notaris dalam proses pengalihan hak atas tanah atas dasar perbuatan hukum utang piutang. Metode penelitian tesis ini adalah hukum yuridis normatif dengan tipologi penelitian eksplanatoris. Simpulan penelitian dalam tesis ini adalah 1. PPJB dan Kuasa Menjual atas dasar utang piutang tidak bisa dijadikan dasar pengalihan hak atas tanah di BPN. 2. Peran Notaris yaitu sebelum membuat akta harus memberikan penyuluhan hukum mengenai akta yang akan dibuat oleh para pihak, sehingga akta yang dibuat tidak bertentangan dengan hukum. Adapun saran dalam tesis ini adalah Notaris dalam notaris dalam menjalankan jabatannya wajib mematuhi ketentuan didalam peraturan perundang-undangan dan Notaris yang tidak melakukan peranannya baik berkaitan dengan pembuatan akta PPJB dengan kuasa menjual atas dasar perbuatan hukum utang-piutang diberi sanksi diberhentiakn sementara dari jabatannya.

This thesis analyzes the procedure for transferring land rights on the basis of the legal actions of receivable debts in the case of Singaraja District Court Decision No. 621 / Pdt.G / PN.Sgr and the role of Notaries in the process of transferring land rights on the basis of the legal actions of receivable debts. This thesis research method is normative juridical law with a typology of explanatory research. The conclusion of the research in this thesis is 1. PPJB and The Power of Sale on the basis of receivable debt cannot be used as a basis for the transfer of land rights in BPN. 2. The role of the Notary is before making a deed must provide legal counseling regarding the deeds to be made by the parties, so that the deed made is not contrary to the law. "Sengketa keabsahan hibah atas tanah harus memperhatikan hukum yang berlaku bagi para pihak maupun hukum atas obyek perkara dan pembuktian. Hal demikian namun tidak dipertimbangkan dengan cermat oleh Majelis Hakim pada tiap-tiap tahap peradilan agama dan pada tingkat kasasi gugatan atas sengketa hibah tanah dibatalkan dan perkara dinyatakan tidak dapat diterima namun tidak mempertimbangkan aspek materiil pada perkara a quo. Oleh karena itu permasalahan yang dikaji dalam penelitian ini adalah mengenai pertimbangan Majelis Hakim mengenai keabsahan hibah tanah yang melebihi satu pertiga harta pemberi hibah dan status kepemilikan harta hibah pada putusan a quo. Untuk menjawab permasalahan digunakan bentuk penelitian yuridis-normatif dengan pendekatan peraturan perundang-undangan dan putusan yang dianalisis secara kualitatif. Hasil penelitian menemukan bahwa pertimbangan Majelis Hakim adalah kurang tepat karena tidak cermat dalam melihat pembuktian Para Penggugat dan status harta hibah adalah tetap berada pada penerima hibah. Berdasarkan hal tersebut, PPAT hendaknya memastikan identitas lengkap penghadap terkait kewenangan dan keberlakuan hukum, serta memastikan bahwa hibah adalah tidak lebih dari 1/3 harta pemberi hibah yang mana para pihak dalam hibah juga dapat mengajukan perhitungan nilai harta pemberi hibah melalui bantuan profesional.

Disputes over the validity of grants on land must take into account the law that applies to the parties as well as the law on the object of the case and evidence. However, this matter was not carefully considered by the Panel of Judges at each stage of the religious court and at the cassation level the lawsuit over the land grant dispute was canceled and the case was declared unacceptable but did not consider the material aspects of the a quo case. Therefore, the problem studied in this research is regarding the consideration of the Panel of Judges regarding the validity of the land grant which exceeds one third of the grantor's property and the status of ownership of the grant property in the a quo decision. To answer the problems used a form of juridical-normative research with an approach to legislation and decisions that were analyzed qualitatively. The results of the study found that the consideration of the Panel of Judges was inaccurate because they were not careful in looking at the evidence of the Plaintiffs and the status of the grant assets remained with the recipient of the grant. Based on this, the PPAT should ensure the complete identity of the appearers regarding the authority and enforceability of the law, and ensure that the grant is no more than 1/3 of the assets of the grantor in which the parties to the grant can also apply for the calculation of the value of the grantor's assets through professional assistance."

ABSTRACT
This thesis covers the anal
ysis of disposition of comercial objects, especially
stocks/shares, and the concept of its ownership in terms of being the stated object in a
sale-purchase agreement with right to repurchase as one of the agreements conditions.
The term for sale-purchase
agreement with right to repurchase, in which stocks/shares
as the object, is called Repurchase agreement (Repo) where the regulation of its
enforcement procedures or guideline is stipulated in The Financial Services Authority
Regulation concerning Guidelin
e of Repurchase Agreement Transaction For Financial
Services Institution. Practically speaking, it is not uncommon that many has considered
Repo Agreement as an attachment of collateral, whilst in the manner of its principle,
Repo is different from the con
cept of collateral attachment.
From that difference, in
which it will be covered in this thesis, can it be understood the concept of ownership of
comercial objects (especially stocks/shares) which is determined as the object being
sold with repurchase righ
t. In South Jakarta district court verdict number
618/Pdt.G/2016/PN Jkt.Sel where the party that purchased stocks in Repo Agreement,
related to the case in that verdict, disposed that purchased stocks to third party (parties
outside the Repo), yet in the v
erdict, the judges stated that the third party had commited
tort or unlawful deed. It can automatically emerges the chance of legal conflicts. The
deed of the party that purchased and then sold the stocks to third party that was not
included in the Repo ca
used the comercial damage to the party that sold the stocks in
the Repo because by then the selling party in the Repo could not use his repurchase
right (his right had been violated). This reasearch/thesis is a normative reasearch by the

Saham Perseroan Terbatas Tertutup merupakan benda yang dapat dipindahkan
kepemilikannya melalui perjanjian hibah dan/atau perjanjian jual beli.
Pemindahan hak atas saham melalui perjanjian ini harus tunduk pada persyaratan
dan juga tata cara yang diatur dalam peraturan perundang-undangan maupun
Anggaran Dasar Perseroan agar sah secara hukum. Apabila syarat-syarat tersebut
tidak terpenuhi maka pemindahan hak atas saham itu dapat dikatakan sebagai
sebuah perbuatan melawan hukum, sebagaimana dapat ditemui dalam putusan No.
604/Pdt.G/2011/PN.Jkt.Sel. Dua permasalahan utama yang akan dibahas dalam
penulisan ini adalah bagaimana tata cara pemindahan hak atas saham Perseroan
Terbatas Tertutup melalui perjanjian jual beli dan hibah serta bentuk perbuatan
melawan hukum yang terjadi dalam perkara di atas. Penulisan dalam skripsi ini
menggunakan pendekatan yuridis normatif dengan metode penelitian
kepustakaan. Berdasarkan hasil analisis skripsi ini, pelanggaran unsur esensialia
dalam suatu perjanjian pemindahan hak atas saham merupakan sebuah perbuatan
melawan hukum. Oleh karena itu penting bagi para pihak untuk patuh serta
memahami ketentuan umum perjanjian dan juga tata cara pemindahan hak atas
saham yang telah diatur dalam peraturan perundang-undangan.

and understand the general provisions on agreements and the procedures

Korupsi adalah salah satu alasan pelaku melakukan tindak pidana pencucian uang. Saat melakukan proses pencucian uang, pelaku biasanya dibantu oleh pihak lain untuk dapat melakukan transaksi keuangan sedemikian rupa sehingga tidak terlihat mencurigakan. Notaris termasuk profesi yang ditetapkan sebagai pihak pelapor dan mempunyai kewajiban untuk melakukan pelaporan apabila mengetahui transaksi keuangan yang mencurigakan saat bekerja dengan kliennya. Identifikasi permasalah yang dibahas dalam penelitian ini adalah regulasi yang mengatur kewajiban Notaris sebagai pihak pelapor dan peranannya saat menjadi saksi perkara korupsi dan pencucian uang. Metode penelitian yang digunakan adalah metode penelitian yuridis normatif yang bersifat deskriptif analitis. Jenis data yang digunakan adalah data sekunder dengan menggunakan studi dokumen dan selanjutnya data-data yang dikumpulkan dan dianalisis dengan menggunakan metode pendekatan kualitatif. Kementerian Hukum dan Hak Asasi Manusia merupakan Lembaga Pengawas dan Pengatur untuk profesi Notaris dalam melaksanakan kewajiban pelaporan. Kelalaian melaksanakan kewajiban pelaporan akan diberikan sanksi administrasi oleh Kementerian Hukum dan Hak Asasi Manusia sesuai peraturan yang berlaku Melaksanakan kewajiban pelaporan berarti menjaga reputasi sebagai profesi yang kredibel, dapat dipercaya serta merupakan cara memperluas jaringan dan pengembangan bisnis.


Corruption is one of the main reason law offenders commit money laundering. While performing money-laundering process, it is common for corruptor to find assistance from other parties to carry out financial transactions in such a way that the transactions will not appear suspicious. Notary is included as a profession appointed as reporting parties and required to submit reports if finding suspicious financial transactions while working with their client. Problems identification to be analyse on this case study are government regulations that regulate Notary obligation as reporting parties and their role while acting as witness on corruption and money laundering case. Research method in this writing is normative legal research with analytical descriptions.  The type of data use is secondary data using document studies and further data collected and analysed using qualitative approaches. The Ministry of Law and Human Rights is the Supervisory and Regulatory Institution that administer Notary reporting obligations. Failure to comply with reporting obligations will impose administrative sanctions by the Ministry of Law and Human Rights in accordance with applicable regulations. Performing obligatory reports means maintaining reputation as a credible, trustworthy profession, this is one of method to expand networks and develop business.

"Konsep nominee berasal dari Pranata Hukum Trust yang berasal dari Tradisi Hukum Common Law. Dapat masuk konsep nominee-nya di Indonesia yang menggunakan Tradisi Hukum Civil Law, dilatarbelakangi oleh adanya proses perdagangan lintas negara dan proses globalisasi. Dalam praktiknya, konsep nominee dapat digunakan karena adanya sistem hukum terbuka dan asas kebebasan berkontrak pada hukum perjanjian di Indonesia. Namun perlu diingat agar suatu perjanjian sah dan memiliki kekuatan hukum maka perjanjian tersebut harus memenuhi syarat sah perjanjian, salah satunya ‘sebab yang halal’.
Di Indonesia, terdapat peraturan yang melarang praktik nominee atas saham, yaitu pasal 33 ayat (1) dan (2) Undang Undang Penanaman Modal. Dengan adanya ketentuan tersebut maka perjanjian yang terdapat ketentuan nominee atas saham adalah perjanjian yang batal demi hukum. Kemudian, sesuai dengan ketentuan pasal 584 KUHPer, Indonesia menerapkan sistem penyerahan kausal dimana sah atau tidaknya perjanjian obligator juga akan mempengaruhi sah atau tidaknya proses penyerahan hak milik. Dengan demikian, penyerahan hak milik atas saham PT KISB yang didasari oleh perjanjian jual beli saham yang terdapat ketentuan nominee saham tidaklah sah.

Nominee concept come from Legal Institution Trust which is come from Common Law Legal Tradition. The Inclusion of nominee concept in Indonesia, who use Civil Law Legal Tradition, is caused by the international trading and globalization. In practice, nominee concept can be used because of open system and principle of freedom of contract in Law Agreement in Indonesia. But it must be remembered, that agreement should follows the requisite legal agreement, which one of them is ‘legal cause’.
In Indonesia, there is a regulation that prohibit the practice of nominee share, and that regulation is article 33 paragraph (1) and (2) of Investment Law. So, with that regulation, any agreement contained the nominee share clause will be null and void. Then refer to the article 584 of The Books of Civil Law, Indonesia use the causal system, where in this system the validity of the obligator agreement will be influence the validity of the transfer ownership process. Thus, the transfer ownership of PT KIBS shares, which are based on share purchase agreement that contained nominee share clause, is invalid.

"Tesis ini membahas tentang kedudukan surat keterangan tanah (SKT) yang dijadikan dasar perbuatan hukum dalam peralihan hak atas tanah. Pejabat Pembuat Akta Tanah (PPAT) adalah pejabat umum yang diberikan kewenangan untuk membuat akta-akta otentik mengenai perbuatan hukum tertentu mengenai hak atas tanah. Namun demikian, terdapat pejabat pembuat akta tanah yang tidak melaksanakan tugas dan kewajibannya dengan baik. Dalam penelitian ini, PPAT telah membuat Akta Penyerahan Hak dengan menggunakan SKT dalam peralihan hak atas tanah sebagai dokumen hukum dan bukti hak atas tanah.
Pokok permasalahan yang akan dibahas yaitu 1) bagaimana bentuk dan substansi dokumen hukum yang termasuk dalam perjanjian kebendaan dan menjadi dasar perbuatan hukum dan pendafataran hak atas tanah, serta 2) kedudukan dan kekuatan bukti SKT dan Bagaimana implikasi hukum terhadap perbuatan hukum yang didasarkan pada SKT dengan objek hak atas tanah dan tanggung jawab Notaris/PPAT berkaitan dengan akta yang dibuatnya. Penelitian ini menggunakan metode penelitian yuridis normatif dengan tipe penelitian deskriptif analitis, dianalisa dengan metode kualitatif dengan menggunakan teknik pengumpulan data sekunder.
Hasil dari penelitian ini adalah peralihan hak atas tanah dengan menggunakan SKT tidak bentuk dan substansi dokumen hukum yang termasuk dalam perjanjian kebendaan dan tidak memiliki kedudukan dan kekuatan hukum sebagai dasar perbuatan hukum dan pendaftaran hak atas tanah. Akta yang dibuat berdasarkan SKT berimplikasi batal demi hukum. PPAT selaku pihak yang membuat dan mengeluarkan Akta Penyerahan Hak bertanggung jawab atas kerugian yang ditimbulkan dari akta yang dibuatnya kepada para pihak yang merasa dirugikan dan dapat dikenakan pertanggungjawaban secara administratif, dan perdata.

This thesis discusses the position of the latter of land which is the basis for legal actions in the transfer of land rights. The official land deed official (PPAT) is a public official who is given the authority to make authentic deeds regarding certain legal actions regarding land rights. However, there are officials who make letter of land that do not carry out their duties and obligations properly. In this study, the PPAT has made a Deed of Transfer of Rights using SKT in the transfer of land rights as a legal document and proof of land rights.
The main issues to be discussed are 1) how the form and substance of legal documents are included in the material agreement and become the basis for legal actions and registration of land rights, and 2) the status and strength of SKT evidence and how the legal implications for legal actions based on SKT with the object of land rights and the responsibility of the Notary/PPAT relating to the deed he made. This study uses normative juridical research methods with analytical descriptive research types, analyzed by qualitative methods using secondary data collection techniques.
The result of this research is the transfer of land rights using SKT does not have legal position and power as the basis of legal documents included in the material agreement and becomes the basis for legal actions and registration of land rights. Deed that is made based on SKT has implication null and void. The PPAT as the party that makes and issues the Deed of Transfer of Rights is responsible for the losses incurred from the deed he made to the parties who feel disadvantaged and may be subject to administrative, and civil liability."
