Ketentuan Kepemilikan Tunggal pada Perbankan sebagaimana diatur dalam PBI No. 8/16/PBI/2000 tanggal 5 Oktober 2006 mengatur bahwa setiap pihak hanya dapat menjadi Pemegang Saham Pengendali pada 1 (satu) Bank. Berlakunya ketentuan tersebut menyebabkan Pemerintah Indonesia yang saat ini menjadi Pemegang Saham Pengendali di 4 (empat ) Bank BUMN yakni PT. Bank Mandiri. PT. Bank Rakyat Indonesia, PT. Bank Negara Indonesia dan PT. Bank Tabungan Negara perlu menyesuaikan struktur kepemilikannya. Terdapat 3 opsi sebagai jalan keluar bagi Pemerintah yakni (i) melakukan merger atau konsolidasi atas bank yang dibawah pengendaliannya (ii) mengalihkan sebagian atau seluruh saham yang dimilikinya sehingga maksimal hanya menjadi PSP di 1 Bank atau (iii) membentuk Bank Holding Company. Dari 3 opsi yang tersedia, penulis berpendapat bahwa opsi privatisasi seluruh kepemilikan saham Pemerintah di Bank BUMN merupakan opsi yang terbaik dengan didasarkan pertimbangan (i) 2 (dua) opsi lainnya akan menghadapi kendala dalam pelaksanannya, (ii) Berbagai studi empiris menunjukkan terdapatnya korelasi negatif antara besarnya kepemilikan Pemerintah di bank dengan kinerjanya (iii) Kepemililkan Pemerintah di Bank BUMN memiliki beberapa sumber kelemahan yang dapat menghambat optimalisasi kinerja dan berpotensi membebani negara.
Single Presence Policy Regulation (Bank Indonesia Regulation No 8/16/PBI/2000 dated October 5, 2006), regulates that every party should only become a controlling owner in 1 (one) Bank. This regulation have an implication for Government of Indonesia who become a controlling owner in 4 (four) Bank which is PT. Bank Mandiri. PT. Bank Rakyat Indonesia, PT. Bank Negara Indonesia and PT. Bank Tabungan Negara. There are three options that could be a solution (i) merger or consolidation the Banks (ii) assign the Government shares, wholly or partly, to other party (privatization) and (iii) establish the Bank Holding Company. In line with this options, the writer have an opinion that privatization is the best solution to implemented the Single Presence Policy Regulation. This opinion based on some consideration which are (i) two other option will face problem in implementation, (ii) empirical studied have proved that there is a negative correlation between government shares in Banks and the Bank performance (iii) The are some weakness in line with the government of Indonesia shares in Bank that might hamper optimalization of the bank performance and potentially could affect to the Government budget.

Terkait dengan kebijakan Single Presence Policy yang dituangkan dalam Peraturan Bank Indonesia (PBI) no. 8/16/2006 tentang Kepemilikan Tunggal pada perbankan Nasional, tesis ini membahas mengenai keefektifan merjer yang dilakukan oleh Khazanah Nasional Berhad melalui CIMB Group Holdings Berhad yang memiliki saham mayoritas di PT. Bank Niaga Tbk. dan PT. Bank Lippo Tbk. menjadi PT. Bank CIMB Niaga Tbk. dari periode sebelum merjer (2006-2007), periode merjer (2008) dan periode setelah merjer (2009) melalui analisis rasio-rasio keuangan (horizontal dan vertical), tingkat kesehatan bank, metode EVA dan perhitungan sinergi yang dihasilkan. Tesis ini bermanfaat bagi investor sebagai pertimbangan pembuatan keputusan investasi, bagi perusahaan manfaat penelitian ini adalah memberikan kontribusi sebagai alat pengukuran kinerja perusahaan, dan untuk peneliti lain manfaat penelitian ini adalah bahan pertimbangan bagi untuk penelitian berikutnya.

Skripsi ini membahas mengenai penerapan Single Presence Policy pada Bank-bank BUMN. Diawali dengan analisis yuridis setiap opsi yang ditawarkan oleh Single Presence Policy yang terdiri dari Merger atau Konsolidasi, pembentukan Bank Holding Company dan pembentukan Fungsi Holding jika diterapkan pada Bank-bank BUMN. Kemudian akan dibahas mengenai perkembangan pembentukan Fungsi Holding sebagai opsi yang telah dipilih oleh pemerintah untuk menerapkan Single Presence Policy pada Bank-bank BUMN.
Penulis berusaha melihat setiap poin penelitian dari dua sisi berbeda yakni dari sisi Kementerian BUMN sebagai pemegang saham pengendali yang diwajibkan memilih dan melaksanakan salah satu opsi dan dari sisi Otoritas Jasa Keuangan (OJK) sebagai pihak regulator yang mempunyai tujuan khusus bagi Perbankan secara keseluruhan sehingga Bank-bank BUMN tidak dikecualikan dalam kebijakan ini. Dalam penulisan skripsi ini, Penulis menggunakan metode penelitian deskriptif analisis.
Berdasarkan hasil penelitian menunjukan bahwa penerapan Single Presence Policy pada Bank-bank BUMN mendapatkan banyak kendala seperti dari sisi persaingan usaha dan anggaran dana. Disetiap opsi yang ditawarkan memiliki hambatan, sehingga pada akhirnya dinilai bahwa pembentukan Fungsi Holding merupakan opsi yang paling sesuai dengan keadaan Bank-bank BUMN di Indonesia saat ini karena beberapa hal seperti tidak membutuhkan dana yang cukup besar dan tidak melanggar ketentuan persaingan usaha. Perkembangan pembentukan Fungsi Holding ternyata tidak berjalan lancar karena sampai saat ini komite yang dibentuk belum berjalan secara efektif. Berdasarkan keadaan tersebut maka pengawasan untuk Fungsi Holding tersebutpun belum pernah dilakukan.

The writter tries to analize about the implementation of Single Presence Policy for State-owned Banks. this Thesis is started from judicary analysis on all option of Single Presence Policy which consist of Merger or Consolidation, Bank Holding Company, and Holding Function if it implemented to State-owned Bank. Then the thesis inform about the progress of establishment the Holding Function as the option which was selected by the Government for Single Presence Policy.
The Writter tries to see every aspect of the research from two different points of view which are from The Ministry of State-Owned Enterprises in Indonesia and from Indonesia Financial Services Authority (OJK) as the banking regulator that has spesific purpose for whole Banking sector in Indonesia. Then OJK create no exeption for State-owned bank to implement this oblogation. The writter use analysis descrption method.
The result of this thesis shows that the implementation of Single Presence Policy for State-owned bank has several obstacles. Every option has their own constraint but at the end, the option to establish the Holding function was considered as the appropiate option to be implemented for state-owned bank. The Progress of establishment the Holding Function have not been running well since it was formed inside The Ministry of State-Owned Enterprises because until this thesis written, the committe made by The Ministry has not effectively operated. Then the supervision for the Holding Function also has not been conducted.

Tesis ini membahas tentang Kebijakan Kepemilikan Tunggal Perbankan yang merupakan salah satu penjabaran dari Arsitektur Perbankan Indonesia. Penulisan tesis ini dilakukan menggunakan data sekunder dengan metode yuridis-normatif. Kebijakan Kepemilikan Tunggal Perbankan yang di keluarkan oleh Bank Indonesia dalam bentuk Peraturan Bank Indonesia PBI Nomor 8/I6/PBI/2006, TLN 4642 dimana dalam Kebijakan Kepemilikan Tunggal Perbankan ini mewajibkan pemilik saham pengendali bank yang sama pada dua bank berbeda untuk memilih opsi divestasi, merger konsolidasi maupun mendirikan bank holding company. Pemilihan salah satu opsi menimbulkan benturan dengan undang- undang tentang Perseroan Terbalas dan Persaingan Usaha Tidak Sehat Kebijakan Kepemilikan Tunggal Perbankan diharapkan memperkuat industri perbankan nasional serta menjadi jawaban atas banyaknya pemilik saham pengendali yang memanfaatkan posisinya untuk berbuat yang merugikan kondisi perbankan nasional.

The single presence policy that issued by Bank of Indonesia in the form of The regulation Bank of Indonesia Number 8/ 16/PBI/2006, TLN 4642 that obligated the ultimate shareholder which become ultimate in two different bank should pick an option, whether to divest, merger consolidation or make a holding company. The choice of an option is not unfit with the company law and the law of monopoly. This policy expected to stronger the banking industry and became the answer for many ultimate shareholder that misuse the ultimate position and make loss the national banking industry.

At the time of economic crisis in 1997 banking sector was one of industries experiencing the most impact of ecoome turbulence. Many banks suffer from liquidity disaster and decline in their performance even some of them liquidated by government because of customer's crisis of trust. To prevent the return of crisis condition in the banking sector the Central Bank or bank of Indonesia released a policy called as Indonesia Banking Architecture in 2004. The BI's policy arranges banks into group or strata according to their owned-capital. Since the policy published in 9 January 2004 it has received few critics and completeness. Refer to the implementation of Indonesia Banking Architecture then in 2006 BI released regulation No. 8/16/PBI/2006 known as single presence policy (SPP). The SPP or single ownership policy arrange that banks owned by same corporation or individual should be merged or consolidated. The corporation or bank owner must be dominant shareholder of those banks or majoriry shareholder. Unfortunately the SPP policy is less aware of and possibly is inconsistent with other regulations ultimately arrangement ralating to business competition law as Act No.5/1999

Sistem perbankan di Indonesia dewasa ini belum berjalan dengan baik, salah satu faktor yang mempengaruhinya adalah lemahnya fungsi pengawasan dan pengaturan perbankan. Hal ini membuat Bank Indonesia (BI) menerbitkan Arsitektur Perbankan Indonesia (API) dan Single Presence Policy (SPP). SPP adalah kebijakan agar bank melakukan penataan kembali struktur kepemilikannya melalui pelepasan saham, merger atau membentuk Bank Holding Company (BHC).
Pokok permasalahan dalam penulisan ini adalah bagaimana penerapan SPP terhadap bank-bank BUMN, dan apakah BHC merupakan pilihan yang tepat bagi bank-bank BUMN. Metode penelitian yang digunakan dalam penulisan hukum ini adalah metode penelitian kepustakaan. Penelitian dalam penulisan hukum ini menggunakan alat pengumpulan data berupa studi dokumen dan wawancara.
Kesimpulan yang didapat adalah SPP terhadap bank-bank BUMN tetap dijalankan, dan pelaksanaannya dengan membentuk BHC dalam bentuk services company yang membawahi bank-bank BUMN sebagai anak perusahaannya.
......Indonesia's banking system today has not gone well, one of the factors that influence it are weak functions of banking supervisons and regulations. This make the Bank of Indonesia (BI) published the Indonesian Banking Architecture (API) and the Single Presence Policy (SPP). SPP is a policy for restructuring the bank to its ownership structure, through the release of stocks, merger or forming the Bank Holding Company (BHC).
The main problems in this legal writing are, how is the implementation of SPP for state-owned enterprise banks, and whether BHC is the right choice for state-owned enterprise banks. The research in this legal writing uses data collecting tool of documentary study and interviews.
The conclusion reached is SPP of state-owned enterprise banks still run, and it's implementation by establishing a BHC in the form of company services, in charge of state-owned enterprise banks as subsidiaries.

Skripsi ini membahas Single Presence Policy (SPP) yang berlaku di perasuransian Indonesia dengan studi kasus PT Mandiri AXA General Insurance (MAGI), dengan pokok permasalahan (1) bagaimana peraturan perundangan perasuransian yang mengatur pengambilalihan dan penggabungan perusahaan asuransi untuk pelaksanaan ketentuan SPP, (2) apakah aksi korporasi pengambilalihan PT Asuransi AXA Indonesia oleh PT Mandiri Axa General Insurance sudah memenuhi ketentuan SPP, (3) bagaimana dampak pengambilalihan PT Asuransi AXA Indonesia oleh PT Mandiri Axa General Insurance terhadap hak-hak dan kewajiban tertanggung dan pemegang polis dari PT Asuransi AXA Indonesia. Penelitian ini merupakan penelitian kepustakaan yang dilakukan dengan menggunakan tipologi penelitian yuridis normatif. Hasil dari penelitian ini adalah (1) Undang-Undang No. 40 Tahun 2014 mengatur tentang SPP yang disebutkan sebagai Pemilik Saham Pengendali yang diatur lebih lanjut di Peraturan Otoritas Jasa Keuangan POJK No. 67/POJK.05/2016, (2) Pada tanggal 1 Agustus 2019 OJK mengeluarkan surat keputusan dengan nomor S-111/NB.1/2019 tentang persetujuan pengambilalihan oleh MAGI terhadap kepemilikan saham AGI. Lalu berikutnya MAGI mendapatkan persetujuan dari Kementerian Hukum dan Hak Asasi Manusia Republik Indonesia dengan nomor surat AHU-AH.01.10-0010347 dan OJK dengan surat keputusan Nomor S-32/D.05/20019. Selain itu asas publisitas juga sudah terpenuhi dengan di website MAGI dan AGI, sehingga penggabungan MAGI sudah sesuai dengan ketentuan PSP, (3) Penggabungan MAGI tidak menyebabkan dampak terhadap hak dan kewajiban pemegang polis sesuai dengan Pasal 82 ayat (2) huruf a POJK No. 67/POJK.05/2016.
This Thesis analyzes Single Presence Policy (SPP) of insurance company with case study PT Mandiri AXA General Insurance with research questions (1) how is insurance company law regulation regulated acquisition and merger based on Single Presence Policy, (2) Is acquisition and merger of PT Mandiri AXA General Insurance has been qualified the conditions of SPP, (3) How is the acquisition and merger impact of MAGI to policyholder rights and obligations of PT Asuransi AXA Indonesia (AGI). This research is a library research conducted using normative juridicial researcg typology. The results of this research are (1) Law No. 40 of 2014 regulated of SPP which called as controlling shareholder and further regulated in OJK regulation POJK No. 67/POJK.05/2016, (2) At the date of 1st August 2019 OJK released Letter of Decree No. S-111/NB.1/2019 about the approval of acquisition by MAGI to AGI shareholding. Then MAGI gets approval from Ministry of Law and Human Rights with the number of letter S-32/D.05/20019. Beside that, about the principle of publicity has been fulfilled with the information in MAGI and AGI website, so that merger of MAGI has been according fulfilled to SPP provisions, (3) The merger between MAGI and AGI doesn't cause impact to rights and obligations of policyholder based on Article 82 paragraph (2) letter a POJK No. 67/POJK.05/2016.

Single Presence Policy is a policy which is surprising not only for businessmen in banking sector but also for general community. The policy called "Pakto" (The Package of October Policy) 2006 reminds us to last "Pakto" policy in 1988 that was 18 years ago where in national banking promoted a concept of liberalization. Jumping to liberalization without proper anticipation and good manner has impacted on the emerge of mushrooming bank without sufficient preparation to banking risk management. Banking liberalization concept has an effect on the policy of merger, consolidation, closing down and bank liquidation. Liquidity Assistance of Bank of Indonesia (BLBI) scenario has no end, but creating a vriminal accusations in banking practices. Single Presence Policy (SPP) bring a new panorama into banking industry. Substances of SPP has potential to create inconsistency to other regulations of business competition, limited corporation, and therefore open to foreign investor for dominating national banking.

Perubahan aturan single presence policy telah memberikan opsi baru bagi pemerintah selaku pemegang saham pengendali bank BUMN dalam mematuhi aturan kepemilikan tunggal tersebut. tujuan dari peneletian ini adalah untuk meneliti perubahan peraturan single presence policy tersebut bagi bank BUMN di Indonesia serta meneliti opsi terbaik bagi bank BUMN dalam melaksanakan aturan single presence policy tersebut dengan menggunakan metode penelitian yuridis normatif.
Dari perubahan kebijakan single presence policy ini telah memberikan opsi baru berupa fungsi holding menggantikan opsi divestasi saham pada aturan single presence policy sebelumnya, dari perubahan tersebut, bank BUMN dalam rangka melaksanakan kebijakan single presence policy tersebut, Opsi bank holding company dinilai lebih baik mengingat fokus usaha dari bank-bank BUMN yang berbeda.
Dalam mencapai efisiensi bank dan demi mematuhi aturan single presence policy, maka Opsi terbaik bagi bank BUMN dari segi akibat hukum adalah bank holding company dimana bank BUMN tidak perlu bergabung menjadi satu perusahaan sehingga penerapan opsi tersebut sebaiknya dilaksanakan secepat mungkin apalagi kita sedang dihadapkan dengan masyarakat ekonomi ASEAN dimana perbankan yang kuat dan efisien sangat dibutuhkan.

Change the rules of the single presence policy has provided a new option for the government as the controlling shareholder of state banks in the sole possession abide by the rules. this research purpose is to examine the changes in the rules of the single presence policy for state-owned banks in Indonesia and researching the best options for state-owned banks in implementing the single presence policy rules using normative juridical research.
Change of single presence policy change has provided new options in the form of a holding function replaces divestiture option on the single presence policy rules previously, of the amendment, the state bank in order to carry out the policy of the single presence policy, the bank holding company options considered better considering the focus of business from state-owned banks are different.
In achieving the efficiency of banks and to comply with the rules of the single presence policy, then the best option for the state bank in terms of legal consequences is a bank holding company in which state owned banks do not need to be merged into one company so that the application of these options should be implemented as soon as possible especially we are faced with economic society ASEAN where a strong and efficient banking is needed.
